AMENDMENT NO. 3 TO FACILITIES USE/REVOCABLE LICENSE AGREEMENT 
Between 
HELPING FAMILIES IN NEED 
And  
MARICOPA COUNTY 
 
This Amendment No. 3 to Facilities Use/Revocable License Agreement (this 
"Amendment") is made and entered into by and between the Helping Families in Need, an Arizona 
non-profit corporation (“Contractor”) and Maricopa County, a political subdivision of the State of 
Arizona, (“County”).  Contractor and County are sometimes collectively referred to herein as the 
“Parties” or individually as a “Party.”  
RECITALS: 
A. 
County and Contractor are parties to that certain Facilities Use/Revocable License 
Agreement No. P-50277 dated October 7, 2015 and subsequently amended September 20, 
2017 and on September 18, 2019 (collectively, the “Agreement”).  The Agreement is for 
use of premises at 635 E Broadway Rd, Mesa Arizona 85204 and 1850 N. 95th Ave. Suite 
184, Phoenix, Arizona 85307. 
B. 
The term of the Agreement expires on October 31, 2021. 
C. 
County and Contractor now mutually desire to enter into the Amendment in order to amend 
the Agreement to extend the term and to delegate administrative authority. 
AGREEMENT 
 
NOW, THEREFORE, in consideration of the foregoing and other good and valuable 
consideration, the receipt and sufficiency of which are hereby acknowledged, County and 
Contractor agree to amend the Agreement as follows: 
 
1. 
The Recitals, by this reference, are incorporated herein and made a part of this Amendment. 
 
2. 
The term of the Agreement is hereby extended two (2) years, to commence November 1, 
2021 and expire October 31, 2023.  The Agreement, as amended, is subject to termination 
pursuant to the provisions of A.R.S. § 38-511. Either Party may terminate the Agreement 
upon 30-days’ prior written notice to the other.  
 
3. 
The Assistant County Manager of Maricopa County and/or the Director of the Maricopa 
County Real Estate Department shall administer this Agreement.

4. 
The effective date of this Amendment is the date of execution by the Maricopa County. 
5. 
The foregoing paragraphs contain all the changes made by this Amendment. All other 
terms and conditions of the Agreement shall remain the same and in full force and effect.
