LICENSE No. P-50336 AMENDMENT No. 01 C-78-20-003-L-01 AMENDMENT No. 1 TO REVOCABLE NON-EXCLUSIVE LICENSE AGREEMENT BETWEEN MARICOPA COUNTY AND THE UNITED FOOD BANK, INC. This Amendment No. 1 to Revocable Non-Exclusive License Agreement (“Amendment”) is made and entered into by and between The United Food Bank, Inc., an Arizona non-profit corporation (“Contractor”) and Maricopa County, a political subdivision of the state of Arizona (“County”). Contractor and County are sometimes collectively referred to herein as the “Parties” or individually as a “Party”. RECITALS A. County and Contractor are Parties to that certain Revocable Non-Exclusive License Agreement P-50336 dated October 9, 2019 (“Agreement”). The Agreement is for use of premises located at 358 E. Javelina, Mesa, Arizona (“Premises”). B. The term of the Agreement expires on October 9, 2021. C. Licensor and Licensee now mutually desire to enter into this Amendment No. 1 (“Amendment”) to extend the term of the Agreement. AGREEMENT NOW THEREFORE, in consideration of the foregoing and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, Contractor and County agree to amend the Agreement. as follows: 1. The Recitals, by this reference, are hereby incorporated in this Amendment. 2 Capitalized terms used in this Amendment without definition shall have the meanings assigned to such terms in the Agreement, unless the context expressly requires otherwise. 3. The term of the Agreement is hereby extended for one (1) year, to commence October 10, 2021 and expire October 9, 2022. The Agreement, as amended, is subject to termination pursuant to the provisions of A.R.S. § 38-511. Either Party may terminate the Agreement upon 30-days’ prior written notice to the other. 4. The Assistant County Manager of Maricopa County and/or the Director of the Maricopa County Real Estate Department shall administer this Agreement. As compensation for the Permitted Use, Contractor shall pay County, without invoice, the annual non-refundable license fee of $700.00 within thirty (30) days of the execution of this Agreement. 6. Contractor’s use of County’s Property shall remain limited to the Use Area as defined in the original Agreement. Due to pending construction on and around the Property, County, at County’s sole discretion, may relocate Contractor to another location within the Property and, whenever feasible, will provide Contractor with a two (2) day written notice, or, temporarily suspend the Permitted Use indefinitely with a ten (10) day written notice to the Licensee. 7. In the event of any expiration or termination of the Master Lease or Sublease, the Agreement shall immediately terminate with no further notice or action by the Parties and the Parties shall be relieved from any further liabilities and obligations hereunder. 8. The foregoing paragraphs contain all the changes made by this Amendment. All other terms and conditions of the Agreement remain the same and in full force and effect.
