License No. CA00119 C-22-25-017-X-01 Page 1 of 9 FIRST AMENDMENT to LICENSE AGREEMENT FOR USE OF REAL PROPERTY BETWEEN MARICOPA COUNTY AND PORTABLE PRACTICAL EDUCATIONAL PREPARATION, INC. RECITALS A. Portable Practical Educational Preparation, Inc., an Arizona non-profit corporation (“Licensee”) and Maricopa County, a political subdivision of the State of Arizona (“Licensor”), (collectively, the “Parties”), are Parties to that certain License Agreement CA00119 (formerly known as P50401) dated September 1, 2024 (“Agreement”) for access and use within Licensor operated One-Stop Career Center located at 4425 W Olive Ave, Suites 190 and 200, Glendale, AZ 85302 (“Facility”) for providing case management services to Licensee’s clients. B. Licensee currently has access to the Facility and use of 131 square feet of allocated space in the Facility. C. Licensee is requesting the use of an additional 132 square feet of allocated space in the Facility, which would bring the total square feet of allocated space in the Facility to be used by Licensee to 262 square feet, as depicted on Exhibit 1, attached hereto and made a part hereof, (the “Premises”). D. The term of the Agreement expires June 30, 2026. E. The Agreement may be extended for five (5) additional one (1) year terms. F. The Agreement may be amended or modified at any time by mutual written agreement of the Parties. G. The Parties mutually desire to enter into this amendment to the Agreement (“First Amendment”), to add 132 square feet of allocated space in the Facility to Licensee’s allocated space and to renew the term of the Agreement for one (1) year. AGREEMENT NOW THEREFORE, in consideration of the foregoing and other good and valuable consideration, receipt and sufficiency of which is hereby acknowledged, Parties agree to amend the Agreement as follows: 1. The Recitals, by this reference, are hereby incorporated into this First Amendment. 2. Section 4.0 is hereby deleted in its entirety and replaced with the following: License No. CA00119 C-22-25-017-X-01 Page 2 of 9 4.0 Term. After execution by both Parties, the term of this Agreement commenced on September 1, 2024, and was to end on June 30, 2026. The term of this Agreement is now extended for one (1) year and shall end on June 30, 2027. The Agreement may be extended for four (4) additional one (1) year terms. 4.1 The Parties have the option to renew the term of this Agreement, provided that Licensee is in full compliance with all terms and conditions of this Agreement. Licensee shall provide written notification to Licensor at least sixty (60) days prior to the expiration of the term of this Agreement of its desire to renew the term of this Agreement. 4.2 The term of this Agreement shall be renewed upon mutual agreement by both Parties in writing. Any renewal of the term of this Agreement shall be on the same terms, covenants and conditions contained in this Agreement unless the Parties otherwise agree in writing. 3. Section 12.0 is hereby deleted in its entirety and replaced with the following: 12.0 Facility Workspace and Common Area. The Facility spaces are: 12.1 Licensor Facility 3 West Valley – total space of 26,290 sq. ft. 12.1.1 Workspace area is 13,233 sq. ft. and 12.1.2 Common space area is 13,057 sq. ft. 12.2 Licensee Facility 3 West Valley – total space of 262 sq. ft. (Exhibit 4) 12.2.1 Workspace area is 132 sq. ft. and 12.2.2 Common area space is 130 sq. ft. 4. Section 13.0 is hereby deleted in its entirety and replaced with the following: 13.0 Facility Space and Rent Costs and Shared Annual Costs. Licensee shall pay Base Rent as depicted in “Exhibit 3-A” (Facilities Space and Rent Costs) attached hereto and Licensee shall pay Shared Annual Costs as depicted in “Exhibit 3-B” (Shared Annual Costs) attached hereto. 13.1 Facilities Base Rent: 13.1.1 Facility 3: Commencing September 1, 2024, through June 30, 2025, Licensee shall pay $2,128.75 for Base Rent annually. For July 1, 2025, through June 30, 2026, Licensee shall pay $2,620.00 for Base Rent. Commencing July 1, 2026, through June 30, 2027, Licensee shall pay $5,572.68 for Base Rent. License No. CA00119 C-22-25-017-X-01 Page 3 of 9 13.2 Shared Annual Costs: 13.2.1 Facility 3: Commencing on July 1, 2026, through June 30, 2027, Licensee agrees to pay a yearly one-time amount of $8.99 to Licensor, for a shared cost of Aqua Chill Water Dispensers and City Wide Pest Control. 5. Exhibit 1 of the Agreement is hereby deleted in its entirety and replaced with a new Exhibit 1, which is attached to this First Amendment. 6. Exhibit 3 of the Agreement is hereby deleted in its entirety and replaced with Exhibit 3-A and Exhibit 3-B, which are attached to this First Amendment. 7. Exhibit 4 of the Agreement is hereby deleted in its entirety and replaced with a new Exhibit 4, which is attached to this First Amendment. 8. This First Amendment may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one instrument. The Parties agree that this First Amendment may be executed and delivered electronically and that electronic signatures, including signatures transmitted in portable document format (PDF) or by other electronic means, shall be deemed to have the same legal force and effect as original handwritten signatures for all purposes. 9. The foregoing paragraphs contain all the changes made by this First Amendment. All other terms and conditions of the Agreement remain the same and in full force and effect.
