SECOND AMENDMENT TO LEASE AGREEMENT
BETWEEN
THE CITY OF TEMPE
AND
MARICOPA COUNTY FOR THE 
NORTH TEMPE MULTIGENERATIONAL CENTER
City contract No. C2006-142____

This Second Amendment to the Lease Agreement (“Second Amendment”) is hereby entered into 
effective upon approval and signature by the Maricopa County Board of Supervisors (the 
“Effective Date”), by and between the City of Tempe (the “City”) and Maricopa County, a 
political subdivision of the state of Arizona (the “County”). The City and the County may be 
referred to herein individually as a “Party,” or collectively as the “Parties.”
RECITALS
WHEREAS, the City and the County entered into that certain Lease Agreement dated June 
15, 2006 and approved June 21, 2006 by the Maricopa County Board of Supervisors (the 
“Agreement”), pursuant to which the City leased to the County portions of the North Tempe 
Multigenerational Center, located at 1555 North Bridalwreath, Tempe, Arizona, as identified in 
the Agreement (the “Premises”) for the provision of its Head Start early childhood education 
program; and
WHEREAS, the original Agreement was scheduled to expire on June 14, 2016 and was 
extended by the Parties on March 9, 2016 to expire June 14, 2026; and
WHEREAS, the Parties now desire to extend the term of the Agreement for an additional 
five (5) year period under the same terms and conditions set forth in the Agreement.
AGREEMENT
NOW, THEREFORE, in consideration of the foregoing and other valuable consideration, 
the sufficiency and adequacy of which the Parties hereby acknowledge, the Parties agree to amend 
the Agreement as follows:

Section 2 of the Agreement is hereby deleted in its entirety and replaced with the following:

Term; Termination. The original term of this Lease Agreement was ten 
(10) years to expire on June 14, 2016. The term of this Lease Agreement was extended an 
additional ten (10) years to expire June 14, 2026. The term of this Lease Agreement is now 
extended an additional five (5) years to expire June 14, 2031. Tempe and Head Start may

terminate this Lease by giving not less than ninety (90) days prior written notice of 
termination to the other party.

Section 15 of the Agreement is hereby deleted in its entirety and replaced with the 
following:

Notices. All notices which shall or may be given pursuant to this Lease 
Agreement shall be in writing and transmitted by registered or certified mail, return receipt 
requested, addressed as follows and shall be effective when received:

Notwithstanding any provision herein to the contrary, this Second Amendment shall not 
become effective unless and until it is approved by the Maricopa County Board of Supervisors. 
4.
Except as expressly amended herein, all remaining terms, covenants, conditions, and 
provisions of the Agreement, as amended, shall remain unchanged and in full force and effect, and 
the Parties hereby ratify and reaffirm the Agreement in its entirety. 
5.
In the event of any conflict between the terms of this Second Amendment and the 
Agreement, the terms of this Second Amendment shall control.
6.
This Second Amendment may be executed in counterparts, each of which shall be deemed 
an original, and all of which together shall constitute one instrument. The Parties agree that this 
Second Amendment may be executed and delivered electronically and that electronic signatures, 
including signatures transmitted in portable document format (PDF) or by other electronic means,

shall be deemed to have the same legal force and effect as original handwritten signatures for all 
purposes.
7.
Each person signing this Second Amendment represents and warrants that they are duly 
authorized to execute this Second Amendment on behalf of the entity for whom they sign.
IN WITNESS WHEREOF, the Parties have executed this Second Amendment effective 
as of the Effective Date.
