Re:  Intent to Purchase 2015 Kodiak 100 Series Plane 
Dear Mr. Bond, 
Please accept this leter as Maricopa County’s (The County) intent to move forward with the purchase of 
the 2015 Kodiak 100 Series plane(N869JV) you have offered through your broker and quoted to the 
County for the total purchase price of $2,403,328.17, quote number 10112339, including all taxes and 
fees for the Maricopa County Sheriff’s Office (MCSO).  Unless noted in this leter or your quote all terms 
and condiƟons of the sale are outlined in our contract with Safeware under County contract number 
210237-C. 
The County understands that it must remit to Safeware, upon receipt of a completed invoice, the sum of 
15% or $332,865.17 as a deposit to be held in escrow unƟl the compleƟon of the sale process.  The 
County is aware that the only way this deposit is refundable is if the plane doesn’t pass the inspecƟon by 
Maricopa County Sheriff’s Office personnel to be scheduled as part of the sale process. The County is 
aware of and accepts Safeware’s aviaƟon process and pricing model to govern the sale as noted below. 
Safeware AviaƟon TransacƟon Process: 
1. Discovery phase by Safeware’s Aviation broker; 
2. Aircraft held by LOI and Deposit 
a. Safeware will sign LOI on behalf of the County; 
b. A 15% Deposit is sent by Safeware to an Escrow account (Safeware invoices MCSO for 
the Deposit); 
3. Purchase Agreement between Safeware and Seller is drafted and agreed; 
4. MCSO Aviation officials and Safeware’s Broker arrive on-site to perform Pre-Buy Inspection 
a. Ideally, Aircraft (owner has to agree) is flown to a local maintenance facility,  
b. Maintenance and borescope inspection performed,  
c. Log books review, 
d. Flight test; 
5. Upon completion and the aircraft passes Pre-Buy inspection, Safeware will fully-fund escrow; 
6. Aircraft is delivered to MCSO; 
7. FAA registration and bill of sale sent to FAA; 
8. Final invoice sent to MCSO for immediate payment. 
 
Our pricing model, reflected in the quote (10112339), includes the following: 
1. Broker fees of $75k,  
2. Pre-buy inspection expenses 
3. Escrow Account expenses

4. County Contract Rebate 1% 
5. Safeware’s distribution margin of 6.75%,  
6. And applicable taxes.
