CITY COUNCIL REPORT SUBJECT: Fifth Amendment to FSL Home Improvements Professional Services Agreement MEETING DATE: October 14, 2025 TO: Mayor and Council FROM: Noel Schaus, Housing Revitalization Manager REVIEWED: Reyes Medrano Jr., City Manager PURPOSE: The Human Services Department is requesting approval of the Fifth Amendment to the Professional Services Agreement between the City of Tolleson and FSL Home Improvements dba AllThrive365 HI for the implementation and administration of owner-occupied home repair services. BACKGROUND: The City of Tolleson originally entered into a Professional Services Agreement with FSL Home Improvements on September 13, 2022, for the HS 22-01 Housing Rehabilitation Services Program. The Agreement, as amended, supports the City’s efforts to provide essential home repair services to eligible owner-occupied households. The parties now desire to amend the Agreement to provide additional funding to ensure successful program completion. DISCUSSION: It is requested that $14,000 of City General Funds (allocated from the Housing Services – Housing Rehabilitation budget) be added to the existing Agreement with FSL (AllThrive365). The remaining ARPA funds are anticipated to be needed for the hard costs of the final project; therefore, City funds are proposed to cover project soft costs, including administrative fees, rehabilitation specialist labor, mileage, and related expenses. Under the terms of the Agreement, FSL bills only for actual expenses incurred, and any unused funds will not be paid out. All other provisions of the Agreement remain unchanged. BUDGET IMPACT: This Amendment increases the City’s General Fund allocation to the Agreement by $14,000, from the Housing Services – Housing Rehabilitation budget, to cover project soft costs. RECOMMENDATION: Staff recommends approval of the Fifth Amendment to the Professional Services Agreement between the City of Tolleson and FSL Home Improvements dba AllThrive365 HI.
