AMENDMENT 
This amendment (“Amendment”) is effective as of the date of signature of the last party to sign as 
indicated below (“Amendment Effective Date”), by and between Tyler Technologies, Inc. with offices at 
One Tyler Drive, Yarmouth, Maine 04096 (“Tyler”) and the City of Tolleson, Arizona, with offices at 9055 
W. Van Buren Street, Tolleson, Arizona 85353-2816 (“Client”).
WHEREAS, Tyler and Client are parties to an agreement dated April 26, 2022 (“Agreement”); and 
WHEREAS, Tyler and Client desire to amend the terms of the Agreement as provided herein. 
NOW THEREFORE, in consideration of the mutual promises hereinafter contained, Tyler and Client agree 
as follows: 
1.
The Term of the Agreement is hereby extended for the period May 1, 2025 through June 30,
2029 (the “First Renewal Term”). Annual SaaS fees for the period May 1, 2025 through June 30,
2026, are indicated in Exhibit 1 to this Amendment. The term will renew thereafter in
accordance with the terms of the Agreement.

Tyler will issue to Client an invoice of annual fees prorated for the period May 1, 2025 through
June 30, 2025, and a separate invoice of annual fees for the period July 1, 2025 through June 30,
2026, on the Amendment Effective Date. Thereafter, annual fees shall be invoiced annually in
advance of each July 1. Tyler agrees to limit any annual increases to such fees during the First
Renewal Term to five percent (5%) over the previous year’s fees.  Upon the expiration of the
Renewal Term, annual fees shall be at then-current rates.
3.
This Amendment shall be governed by and construed in accordance with the terms and
conditions of the Agreement.
4.
Except as expressly indicated in this Amendment, all other terms and conditions of the
Agreement shall remain in full force and effect.
