PURPOSE: 
The Utilities Department is requesting approval of the First Amendment to the Cooperative Purchasing 
Agreement with WACO, LLC to increase the annual compensation limit for emergency pipeline repair services. 
 
BACKGROUND: 
On April 11, 2025, the City of Tolleson entered into a Cooperative Purchasing Agreement with WACO, LLC, based 
upon City of Scottsdale Contract No. 25RFP2514, to provide emergency pipeline repair services. This agreement 
set an annual compensation limit of $100,000. The Utilities Department determined that due to the volume 
and urgency of needed repairs, the compensation limit requires adjustment to ensure adequate service 
availability. 
 
DISCUSSION: 
The First Amendment to the Cooperative Purchasing Agreement increases the annual not-to-exceed amount 
from $100,000 to $200,000, while retaining all other existing terms and conditions of the Agreement. This 
adjustment ensures the City can meet the increased demand for emergency pipeline repairs without service 
disruption. 
 
The Cooperative Contract remains on file with the City Clerk’s Office and is incorporated by reference. WACO, 
LLC has affirmed that the City is not in default under the terms of the original Agreement and has waived any 
claims existing on or before the date of the amendment. 
 
BUDGET IMPACT: 
The amendment increases the annual compensation cap to $200,000. Funding for these services is available in 
the Utilities Department budget. 
 
RECOMMENDATION: 
Staff recommends approval of the First Amendment to the Cooperative Purchasing Agreement with WACO, 
LLC.
