CITY COUNCIL REPORT SUBJECT: Third Amendment to Shamrock Foods Company Cooperative Purchasing Agreement MEETING DATE: August 26, 2025 TO: Mayor and Council FROM: George Good , Chief of Social Impact REVIEWED: Reyes Medrano Jr., City Manager PURPOSE: The Human Services Department is requesting approval of the Third Amendment to the Cooperative Purchasing Agreement with Shamrock Foods Company to continue the purchase of food, fresh produce, and cafeteria supplies through June 30, 2026, and to increase the annual compensation cap. BACKGROUND: The City of Tolleson originally entered into a Cooperative Purchasing Agreement with Shamrock Foods Company on May 24, 2022, based on the Mohave Educational Services Cooperative Contract No. 21O-SFC-0701 dated July 1, 2021. The Agreement enables the City to purchase food, fresh produce, and related cafeteria supplies to support Human Services programs. The initial term has been previously extended and modified through two prior amendments. DISCUSSION: The Third Amendment to the Cooperative Purchasing Agreement extends the term of the Agreement through June 30, 2026. It also increases the annual aggregate not-to-exceed compensation from $133,000 to $177,500. In addition, this amendment includes the addition of new products and incorporates statutorily required terms into the Agreement. These updates ensure that the City’s Human Services Department can continue to procure food and cafeteria supplies efficiently through a reliable vendor that has been selected via a cooperative purchasing process, which complies with procurement regulations and supports program continuity. BUDGET IMPACT: Sufficient funds have been allocated in the Human Services Department’s operating budget to support the increased annual expenditure not to exceed $177,500. RECOMMENDATION: Staff recommends that the City Council approve the Third Amendment to the Cooperative Purchasing Agreement with Shamrock Foods Company.
