CITY COUNCIL REPORT SUBJECT: Resolution No. 2611 - TASSA Articles of Incorporation and Bylaws MEETING DATE: July 8, 2025 TO: Mayor and Council FROM: Pilar Sinawi, Deputy City Manager/Chief Government Affairs Officer REVIEWED: Reyes Medrano Jr., City Manager PURPOSE: To seek Council approval to formally establish the Tolleson Alliance Against Substance Abuse (TAASA) as a nonprofit corporation by adopting the Articles of Incorporation and Bylaws for TAASA and appointing Incorporators and the initial Board of Directors. BACKGROUND: The City of Tolleson recognizes the critical need to address substance abuse challenges within the community through education, prevention, intervention, and support services. To further this mission, the City is establishing the Tolleson Alliance Against Substance Abuse (TAASA), a nonprofit organization operating under City oversight. TAASA will serve as a community-driven initiative providing resources, outreach, and programs aimed at reducing substance abuse and its impacts. Incorporating TAASA allows the organization to operate with greater structure, pursue grant opportunities, and coordinate its efforts in alignment with City policies. DISCUSSION: Resolution No. 2611 authorizes: • The adoption of the Articles of Incorporation of TAASA, a nonprofit corporation in Arizona. • The approval of TAASA’s Bylaws, which establish the governance framework, including board composition, officer roles, meeting requirements, and program priorities. • The appointment of Incorporators to complete the legal filing process with the Arizona Corporation Commission. • The appointment of the initial Board of Directors, responsible for overseeing organizational activities, approving policies, and ensuring compliance. Initial Incorporators: Reyes Medrano Jr. Adolfo Gamez Jimmy Davis Initial Board of Directors: Adolfo Gamez – 3-year term Jimmy Davis – 2-year term The Board will expand to include representatives from the City Council, business community, health services, education sector, and community members, as outlined in the Bylaws. TAASA will operate under City oversight with a staff liaison serving as Board Secretary. The organization’s work will focus on prevention education, treatment awareness, support services, job training for individuals in recovery, and harm reduction initiatives. BUDGET IMPACT: There is no immediate fiscal impact. TAASA will be funded through grants, donations, and municipal allocations as approved by the City of Tolleson. RECOMMENDATION: It is recommended that Council adopt Resolution No. 2611, thereby: • Approving the formation of TAASA as a nonprofit corporation. • Adopting the Articles of Incorporation and Bylaws of TAASA. • Appointing the Incorporators and initial members of the Board of Directors.
