RESOLUTION NO. 2380 A RESOLUTION OF THE MAYOR AND COMMON COUNCIL OF THE TOWN OF WICKENBURG, MARICOPA AND YAVAPAI COUNTY, ARIZONA, APPOINTING A DIRECTOR AND ALTERNATE DIRECTOR OF SOUTHWEST PUBLIC POWER AGENCY WHEREAS the Town of Wickenburg is a Member of Southwest Public Power Agency (“SPPA”) under the Southwest Public Power Agency, Inc., Intergovernmental Agreement, dated July 31, 2014 (the “SPPA IGA”), the Articles of Incorporation of Southwest Public Power Agency, Inc., dated July 31, 2014 (the “SPPA Articles of Incorporation”), and the Bylaws of Southwest Public Power Agency, INC., adopted August 11, 2014 (“the SPPA Bylaws”). WHEREAS the SPPA Bylaws state that the management of the affairs of SPPA shall be vested in the Board of Directors, each of whom must be an elected official appointed by the governing body of a Member of SPPA or another designee of the governing body of a Member or an alternate appointed by such governing body. The SPPA Bylaws further state in Section 3.1 that each Member shall appoint one Director by resolution of the governing board of such Member. NOW, THEREFORE, BE IT RESOLVED, BY THE MAYOR AND THE COMMON COUNCIL OF THE TOWN OF WICKENBURG, ARIZONA: 1. The Mayor and Common Council appoints Troy Smith, Town Manager as the designee of The Town of Wickenburg to serve as a Director of SPPA, and Robert L. Martinez II, Finance Director, is appointed as an alternate to such Director. 2. This Resolution shall become effective upon its adoption by the Mayor and Common Council of the Town of Wickenburg, Arizona. Approved, passed, and adopted by the Mayor and Common Council of the Town of Wickenburg, Arizona, this 7th day of July 2025.
