1 AMENDMENT NO. 1 TO THE COOPERATIVE PURCHASING AGREEMENT TO PROVIDE SERVICES/SUPPLIES BETWEEN THE TOWN OF WICKENBURG AND ENTERPRISE FLEET MANAGEMENT, INC. THIS AMENDMENT NUMBER 1 TO THE COOPERATIVE PURCHASING AGREEMENT (this “Amendment”) between the Town of Wickenburg, an Arizona municipal corporation (the “Town”) and Enterprise Fleet Management, Inc., a Missouri corporation, (the “Contractor”), (collectively, “the parties”), is hereby entered into and shall be effective on the last signature date set forth below. Note: Amendment changes are noted with additions in bold font and deletions in strikeout font. RECITALS A. The Town and the Contractor entered into a Cooperative Purchasing Agreement on June 28, 2023 (the “Agreement”) based upon the Sourcewell Contract No. 030122-EFM, as amended, (the “Cooperative Contract”), for Contractor to provide fleet management services, materials, and/or equipment (“Services”). The terms of the Agreement and the Cooperative Contract, and any amendments thereto, are incorporated herein by reference. B. The Town has determined that additional Services are necessary and desires to renew the term of the Agreement through April 18, 2027, and to increase the compensation paid to Contractor. AGREEMENT NOW, THEREFORE, in consideration of the foregoing introduction and recitals, which are incorporated herein by reference, the following mutual covenants and conditions, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Town and the Contractor hereby agree as follows: 1. The parties agree to amend Paragraph 2 Payment of the Agreement, as follows: 2. Payment. Payment to the Contractor for the services, materials and/or equipment provided shall be made in accordance with Section 3(c) of the Enterprise FM Trust Master Equity Lease Agreement. The contract price for any given year shall not exceed $550,000$750,000. 2. The parties agree to amend Paragraph 1 Contract Term and Renewal as follows: 4. Contract Term and Renewal. The term of the Contract attached hereto as Exhibit A.1. shall commence upon approval and continue through April 18, 2026April 18, 2027 unless terminated as otherwise provided in this Agreement or the Cooperative Contract. 2 3. Effect of Amendment. In all other respects, the Agreement is affirmed and ratified and, except as expressly modified herein, all terms and conditions of the Agreement shall remain in full force and effect. 4. Non-Default. By executing this Amendment, the Contractor affirmatively asserts that (i) the Town is not currently in default, nor has it been in default at any time prior to this Amendment, under any of the terms or conditions of the Agreement and (ii) any and all claims, known and unknown, relating to the Agreement and existing on or before the date of this Amendment are forever waived. 5. Conflict of Interest. This Amendment and the Agreement may be canceled by the Town pursuant to A.R.S. § 38-511.
