Dear Mr. Watson:

The Flinn Foundation (Foundation) Board of Directors (Board) has authorized a grant to the
Maricopa County School Superintendent’s Office (MCSSO) in the amount of $754,159, over 36
months, beginning on February 21, 2024 through December 31, 2026, to support the Exploring
Pathways to Bioscience Careers (EPBC) Initiative, under the leadership of principal investigator Gale
Beauchamp.

Mary O'Reilly, Ph.D., Vice President, Bioscience Research Programs, is the Foundation’s program

Note that the Foundation’s Board is attaching the following conditions to this grant, with additional
stipulations in the attached Grant Agreement document:

e Should the principal investigator, Ms. Beauchamp, leave MCSSO or step into a new role at
MCSSO during the grant period, continuation of the grant will be reassessed. Additionally, if
the elected superintendent leaves MCSSO prior to the end of the grant period, the grant will
be re-evaluated and may be cancelled;

e Grantee should participate in scheduled site visits or calls with Foundation staff or their
representatives;

e Grantee should submit semiannual expenditure and progress reports;

e Without written approval from the Foundation, transfers among the line items in grantee’s
approved budget are limited to the greater of three thousand dollars ($3,000) or ten
percent (10%) of the approved line item (please refer to Appendix, Table 1 for the approved
budget);

e Grantee should develop a strategy for continued program growth and increased Impact beyond
the grant period through, for example, engagement with state workforce groups, industry
partners, government, and philanthropic funders.

° Grantee should submit final expenditure and progress reports within 30 days of the close of
the grant;

e Grant payments will be in three annual installments: the first on receipt of the signed
documents and the subsequent payments on an annual basis, contingent upon approval of
reporting (please refer to Appendix, Table 2 for the grant reporting schedule and Appendix,
Table 3 for the grant payment schedule);

© Grantee should continue to provide project findings, outcomes data, and noteworthy
development information to the Foundation for up to five years after the end of the grant
period;

e Public announcement of this award or other public references to the Foundation should be
reviewed and approved by Matt Ellsworth, Vice President, Communications
(mellsworth@flinn.org), with emails copied to BioscienceGrants@flinn.org.

Attached are four documents: (1) Appendix; (2) Grant Agreement; (3) Grant Award Information and
Request for Payment; and (4) Electronic Funds Transfer form. Please review, complete, sign, and

For a progress report to be considered satisfactory, the report must demonstrate meaningful progress
against the targets or milestones identified in the submitted proposal. If meaningful progress has not
been made, the report must explain why not and what adjustments the grantee will make to ensure that
progress will be made in the near future.

Funds after the initial payment, where applicable, will be made to the grantee unless (i) the grantee
timely submits required progress reports to the Foundation in accordance with the proposal, the grant
award letter, and Section 3 of this Grant Agreement and (ii) the Foundation, in its reasonable discretion,
determines that such progress reports are satisfactory.

Grant Agreement

Any grant awarded by the Flinn Foundation (the “Foundation”) to the Maricopa County School Superintendent’s
Office (“Grantee”) shall be subject to the following terms and conditions, Each grant shall also be subject to the terms
and conditions of the Grant Award Letter issued by the Foundation in connection with such grant.

Tax-Exempt Status, Grantee hereby represents and warrants that it is a political subdivision of the State of
Arizona and is therefore exempt from taxation pursuant to Section 115 of the Internal Revenue Code.

Use of Funds, Grantee will not use the funds it receives (the “Grant Funds”) for any purpose other than those
specified in the Grantee’s proposal (the “Proposal”), and may not use the Grant Funds to reimburse any
expenses Grantee incurred prior to the Start Date specified in the Award Letter. Additionally, Grantee will
use the Grant Funds exclusively for public purposes, as that phrase is used in Section 170(c)(1) of the Internal
Revenue Code.

Reporting. Grantee will submit periodic progress reports to the Foundation. For a progress report to be
considered satisfactory, the report must demonstrate meaningful progress against the targets or milestones
identified in the Proposal. If meaningful progress has not been made, the report must explain why meaningful
progress was not made and what adjustments Grantee will make to ensure that meaningful progress will be
made in the near future.

Contingent Payments. No subsequent payment of Grant Funds after the initial payment, where applicable,
will be made to Grantee unless (i) Grantee timely submits required progress reports to the Foundation in
accordance with the Proposal, the Grant Award Letter, and Section 3 of this Grant Agreement and (ii) the
Foundation, in its reasonable discretion, determines that such progress reports are satisfactory.

Investment of Funds. Grantee niust invest the Grant Funds in highly liquid investments with the primary
objective of preservation of principal (e.g., an interest-bearing account or a registered money market mutual
fund) so that the Grant Funds are available for the purposes identified in the Proposal. Grantee must use any
interest or other income generated by the Grant Funds solely for the purposes identified in the Proposal.

Political Activity and Advocacy. Grantee may not use (or earmark) any Grant Funds to for any of the
foliowing purposes: (i) influencing the outcome of any election for public office; (ii) carrying on any voter
registration drive; (iii) supporting lobbying activity; or (iv) otherwise supporting attempts to influence local,
state, federal or foreign legislation.

Publicity by the Foundation, The Foundation may include information about grants to Grantee, including
Grantee’s name, in ils periodic public reports and may make such information available on its website and as
part of press release, public reports, speeches, newsletter, tax returns, and other public disclosures,

Publicity by Grantee, Each party must obtain the Foundation’s written approval before issuing a press release
or other public announcement regarding any grant to Grantee or otherwise making any public use of the
Foundation’s name or logo.

Compliance with Laws, In carrying out the purposes identified in the Proposal, Grantee will comply with all
applicable laws, regulations and rules and will not inftinge, misappropriate or violate the intellectual property,
privacy or publicity rights of any third party.

Termination. The Foundation may modify, suspend, or discontinue any payment of the Grant Funds or
terminate this Grant Agreement with at least 90 days’ notice, in writing, if (i) necessary to protect the purpose
and objectives of the Foundation; (ii) the Foundation is not reasonably satisfied with Grantee’s progress
against the targets or milestones identified in the Proposal; (iii) there are significant changes to the leadership
of Grantee or other factors exist that the Foundation reasonably believes may threaten Grantee’s ability to
accomplish the purpose specified in the Proposal; (iv) there is a change in the control of Grantee; or (v) Grantee
fails to comply with this Agreement.

Return of Funds, Any Grant Funds, along with any interest or other income generated by the Grant Funds,
that have not been used for, or committed to, the accomplishment of the purpose specified in the Proposal by
the End Date (or the date this Agreement lerminates, if earlier) must be immediately returned to the
Foundation.

Accounting and Audit. Grantee will maintain a systematic record of the receipt of the Grant Funds and
expenditures incurred on a fund-accounting basis, and retain the substantiating documents (including bills,
invoices, cancelled checks, receipts, etc.) in Grantee’s files for at least four (4) years beginning on the End
Date (or the date this Agreement terminates, if earlier), Grantee will furnish the Foundation with copies of
such records and documents on the Foundation’s request. At its expense, the Foundation may audit or have
audited the records of Grantee insofar as they relate to this Grant, and Grantee shal{ provide all necessary
assistance and cooperation in connection with such an audit.

Use of Grant Funds, Expenditures of the Grant Funds must adhere to the specific Hne items identified in
Grantee’s approved budget. Without written approval from the Foundation, transfers among the line items
in Grantee’s approved budget are limited to the greater of (i) three thousand dollars ($3,000) or (ii) ten percent
(10%) of the approved line item,

Monitoring, The Foundation may, at its expense, monitor and conduct an evaluation of Grantee’s operations
in connection with any grant, which may include a visit from Foundation personnel to observe Grantee’s
program, discuss the program with Grantee’s personnel, and review financial and other records and materials
connected with the activities financed by this Grant.

No Pledge. This Grant Agreement shall not be interpreted to create any pledge or commitment by the
Foundation fo make any other or further grants or contributions to Grantee or any other person or entity for
this or any other project.

Indemnification, To the extent permitted by law, Grantee agrees to indemnify and hold the Foundation
harmless from any and all expenses, liabilities and damages, including without limitation, reasonable
attorneys’ fees incurred or required to be paid by the Foundation (collectively, the “Claims”), that relate to,
arise from or are connected with Grantee’s use, planned use and/or proposed use of the Grant Funds or any
activities related thereto, but only to the extent that the Claims are caused by the act, omission, negligence,
misconduct or other fault of Grantee.

Survival. Graniee’s obligations under this Agreement will be continuous and will survive the expiration or
termination of this Agreement,

Assignment. Grantee may not assign or transfer any of its rights or obligations under this Agreement without
the Foundation’s prior written approval.

Other. This Agreement is subject to cancellation under A.R.S. Section 38-511 regarding conflict of interest
on the part of individuals negotiating contracts on behalf of the State of Arizona. The parties agree to be

bound by applicable state and federal laws and regulations governing equal opportunity, nondiscrimination
and immigration.
