THIRD AMENDMENT FOR EARLY TERMINATION OF AGREEMENT (P50301) 
BETWEEN WESLEY COMMUNITY CENTER, INC. AND MARICOPA COUNTY 
1625 N. 39TH AVENUE, PHOENIX, AZ 
C-86-17-066-L-03 
 
RECITALS 
 
A. 
Wesley Community Center, Inc., an Arizona non-profit corporation, doing business as 
Wesley Community Health Center (WCHC) and Maricopa County, a political subdivision 
of the State of Arizona (County),  (collectively, Parties), are Parties to that certain Agreement 
dated May 10, 2017 and subsequently amended by First Amendment dated May 6, 2020 and 
by Second Amendment dated April 6, 2022 (collectively, Agreement), for County’s use of 
an un-numbered room, consisting of approximately 416 square feet, located at 1625 N. 39th 
Avenue, Phoenix, AZ (New Premises). 
 
B. 
The term of the Agreement expires May 31, 2025. 
 
C. 
The Parties now mutually desire to enter into this Third Amendment to the Agreement 
(Amendment) to terminate the Agreement. 
 
AGREEMENT 
 
NOW THEREFORE, in consideration of the foregoing and other good and valuable 
consideration, the receipt and sufficiency of which are hereby acknowledged, WCHC and County 
agree  as follows: 
 
1. 
The Recitals, by this reference, are hereby incorporated into this Amendment.  
 
2. 
Capitalized terms used in this Amendment without definition shall have the meanings 
assigned to such terms in the Agreement unless the context expressly requires otherwise. 
 
3. 
The Parties agree the Agreement shall terminate on February 29, 2024 (Termination Date). 
County will remove its personal property and vacate the Premises on or before the 
Termination Date. 
 
4. 
County shall surrender New Premises in substantially the same condition as received, 
ordinary wear and tear excepted. 
 
5. 
This Agreement is subject to cancellation pursuant to the provisions of A.R.S. §38-511. 
 
6. 
This Amendment may be executed in two or more counterparts, each of which shall be 
deemed an original but all of which together shall constitute one and the same instrument. 
Electronic signatures shall have the same force and effect as original signatures.  
 
7. 
The foregoing paragraphs contain all the changes made by this Amendment. All other 
terms and conditions of the Agreement remain the same and in full force and effect until 
the Termination Date.
