JOB ORDER CONTRACT 
FOR 
PAVEMENT PRESERVATION AND REHABILITATION 
 
ADDENDUM NO. 2 
TO CONTRACT C2025-25 
 
 
This Addendum made and entered into on the 16th day of April 2026, by and between the City of 
Tempe, an Arizona municipal corporation (“City”), and TALIS Construction Corporation, an Arizona 
corporation (“JOC”), amends the original Contract made and entered into by and between the same parties 
on January 23, 2025, (C2025-25); along with that certain Amendment No. 1 entered into on September 2, 
2025, Addendum No. 1 on January 21, 2026, and Amendment No. 2 on March 19, 2026, (collectively 
“Contract”). 
R E C I T A L S: 
A. 
The parties hereto entered into that Contract for Pavement Preservation and Rehabilitation 
that has proven to be an efficient and cost-effective method for City projects, and City 
requires ongoing support services from JOC. 
B. 
The parties desire to further define their respective rights and obligations with respect to the 
Contract price. 
C. 
The parties intend that the following sections shall be integrated into the Contract in place of 
the former similarly identified section, if any, and that this Addendum be given the full force 
and effect of law as the Contract. 
 
Now therefore, in consideration of the mutual promises and covenants as more particularly set 
forth below, the parties do hereby amend the Contract to read as follows: 
1. 
Contract Price.  The maximum annual Contract Price shall be increased by 
$15,000,000.00. 
2. 
All other provisions of the original Contract where not inconsistent with this Addendum 
shall remain binding on the parties hereto.
