ADDENDUM NO. 8 TO THE INTERGOVERNMENTAL AGREEMENT
BETWEEN TEMPE ELEMENTARY SCHOOL DISTRICT NO. 3
OF MARICOPA COUNTY AND THE CITY OF TEMPE TO CONSTRUCT AND OPERATE
THE NORTH TEMPE MULTIGENERATIONAL CENTER ON TEMPE SCHOOL DISTRICT
LAND (CECIL SHAMLEY SCHOOL)

This Addendum No. 8 (“Addendum”) is entered into on this wn day of May 20 Lo
2026, and amends that certain Intergovernmental Agreement between the Tempe Elementary School

District No. 3 of Maricopa County, a duly organized school district under the laws of Arizona (the
“District”) and the City of Tempe, an Arizona municipal corporation (“City”).

RECITALS

WHEREAS, on or about December 15, 2004, the District and the City entered into an
Intergovernmental Agreement (the “IGA”) to establish the terms and conditions for the construction,
operation, and use of the North Tempe Multigenerational Center which is built on District property but
owned by the City; and

WHEREAS, the District and the City have amended the IGA over the course of the IGA,
particularly by the First Addendum dated November 19, 2014, the Second Addendum dated August 19,
2015, the Third Addendum dated August 3, 2016, the Fourth Addendum dated September 6, 2017, the Fifth
Addendum dated September 28, 2017, the Sixth Addendum dated May 27, 2020, and the Seventh
Addendum dated June 16, 2023; and

WHEREAS, the District and City agree that both parties derive benefit from the IGA and they
now desire to modify the IGA for the purposes of extending the IGA for an additional three-year term to

June 15, 2029.

NOW, THEREFORE, the District and the City hereby agree to modify the IGA as follows:

AGREEMENT

1. Pursuant to Section 4.2 of the IGA, the District and the City mutually agree to renew this
IGA for the operation of the North Tempe Multigenerational Center and hereby extend the term of IGA for
an additional three (3) years to run until June 15, 2029.

2 All other provisions of the IGA, where not inconsistent with this Addendum, shall continue
to remain the agreement of the parties hereto. Any term capitalized in this Addendum shall have the same

meaning as set forth in the IGA unless defined herein.

In accordance with A.R.S. §11-952, 15-342(13) and 15-1142, the undersigned attorney
acknowledges that (i) s/he has reviewed the above Agreement on behalf of the Tempe School
District No. 3 and (ii) as to the Tempe School District No. 3 only, has determined that this
Agreement is in proper form and within the powers and authority granted to the Tempe School
District No. 3 under the laws of the State of Arizona.
