ACTION:  Adopt a resolution authorizing the revised form of Land and Improvement Lease(s) for 
improved lots, as contemplated by approved Ordinance No. O2022.06 and Development and 
Disposition Agreement C2022-36, South Pier at Tempe Town Lake. (Resolution No. R2026.69)
FISCAL IMPACT:  No fiscal impact.
RECOMMENDATION:  Adopt Resolution No. R2026.69.
 
BACKGROUND INFORMATION:  On March 17, 2022, the City Council approved Ordinance No. 
O2022.06, authorizing the Development and Disposition Agreement C2022-36 (“DDA”) for the South 
Pier at Tempe Town Lake project. The DDA established the framework for the project's development 
and contemplated the future execution of Land and Improvement Leases for qualifying development 
parcels.
As part of the approved DDA, Council approved a form of Land and Improvement Lease attached as 
Exhibit F. The DDA further contemplated that individual leases would be executed as project parcels 
satisfying applicable development milestones and lease eligibility requirements.
South Pier Lot 6 Owner, LLC has acquired the development rights associated with Lot 6 and has 
completed improvements that have received the required certificate(s) of occupancy. Staff has 
determined that Lot 6 satisfies the applicable requirements of the DDA for execution of a Land and 
Improvement Lease.
The resolution authorizes the use of a revised Land and Improvement Lease form in place of the form 
attached as Exhibit F to the DDA. The revisions consist of non-substantial refinements and clarifications 
intended to better implement the parties' original intent and facilitate administration of the lease while 
remaining consistent with the material terms and business points previously approved by Council.
The resolution further authorizes execution of one or more Land and Improvement Leases for South 
Pier Lot 6 and authorizes the City Manager or designee to take such further actions and execute such 
ancillary documents as may be necessary to implement the purposes of the resolution and carry out the 
transactions contemplated by the DDA.
Approval of the resolution will allow the City to complete the lease transaction contemplated by the DDA 
and continue implementation of the South Pier at Tempe Town Lake project
