RESOLUTION NO. R2026.69
A RESOLUTION OF THE CITY COUNCIL OF THE CITY 
OF TEMPE, ARIZONA, AUTHORIZING THE REVISED 
FORM  OF LAND AND IMPROVEMENT LEASE(S) FOR 
IMPROVED LOTS AS CONTEMPLATED BY APPROVED 
ORDINANCE NO. O2022.06 AND DEVELOPMENT AND 
DISPOSITION AGREEMENT C2022-36, SOUTH PIER AT 
TEMPE TOWN LAKE.
WHEREAS, on March 17, 2022, the City entered a Development and Disposition 
Agreement (“DDA”) (C2022-36) with South Pier Tempe Holdings, LLC for the development 
and improvement of various parcels of land for the South Pier at Tempe Town Lake Project 
(“the Project”); and
WHEREAS, the DDA was intended to facilitate the development of the Project through 
various commitments including but not limited to the City executing certain leases of property 
to development entities upon the satisfaction of certain terms and conditions; and
WHEREAS, Ordinance No. O2022.06 authorized the execution of the DDA for the 
Project and further executed the land conveyances contemplated therein including but not 
limited to a Land and Improvements Lease for various lots within the Project; and
WHEREAS, South Pier Lot 6 Owner, LLC (“South Pier 6”) has acquired certain 
developments rights to lots within the Project and has constructed one or more buildings that 
have received a certificate of occupancy from the City; and
WHEREAS, South Pier 6 has met eligibility requirements for one or more Land and 
Improvements Leases as set forth in the DDA; and
WHEREAS, in order to conform the authorize Land and Improvements Lease form set 
forth to intent of the DDA, it is necessary to make certain non-substantial refinements and 
clarifications to the approved form of Lease set forth in Exhibit F to the DDA;
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY 
OF TEMPE, ARIZONA, as follows:
            
Section 1.   In carrying out the various transactions contemplated in Development and 
Disposition Agreement C2022-36 and approved through Ordinance No. O2022.06, the City 
Manager or designee is authorized to use a Land and Improvements Lease substantially in the form 
attached hereto as Exhibit 1 in lieu of the previously approved form of Land and Improvements 
Lease originally set forth as Exhibit F to the Development and Disposition Agreement.
Section 2.   The City Manager or designee is authorized to take such further actions as 
are necessary to implement the purposes of this Resolution.
