Page 1 of 5 FIRST AMENDMENT TO THE INTERGOVERNMENTAL AGREEMENT BETWEEN MARICOPA COUNTY AND THE CITY OF TEMPE FOR THE CONNECTED VEHICLE INTELLIGENT TRANSIT AND FREIGHT SIGNAL PRIORITY (TE073) (C-64-24-007-X-01) This First Amendment to the Intergovernmental Agreement the Connected Vehicle Intelligent Transit and Freight Signal Priority (First Amendment) is entered into by and between the Maricopa County, a political subdivision of the State of Arizona (County), and the City of Tempe, a municipal corporation (City). The County and the City are collectively referred to herein as the Parties or individually as a Party. STATUTORY AUTHORIZATION 1. The County is authorized, pursuant to Arizona Revised Statues (A.R.S.) §§ 11- 251 and 28-6701 et seq. to layout, maintain, control, and manage public roads within the County. 2. The City is authorized, pursuant to A.R.S. §§ 9-240 and 9-276 et seq. to layout and establish, regulate, and improve streets within the City, and to enter into this Agreement. 3. Public agencies are authorized, pursuant to A.R.S. § 11-951 et seq., to enter into Intergovernmental Agreements for the provision of services or for joint or cooperative action. BACKGROUND 4. The Parties previously entered into an Agreement (C-64-24-007-X-00), recorded at Maricopa County Recorder No. 20230423331 (2023 Agreement), to install and configure Roadside Unit (RSU) devices at traffic signals along MC-85/Buckeye Road, between 107th Avenue and 59th Avenue; Rural Road, between Loop 202 Red Mountain Freeway and the US 60 in Tempe; and Power and Sossaman Road, between Loop 202 Santan and ASU Polytechnic Campus/Innovation Way (Project). The Agreement was effective on August 8, 2023, the date it was approved by the Maricopa County Board of Supervisors. Page 2 of 5 5. The Parties desire to further amend the IGA, through this First Amendment, to adjust the intersection locations within Tempe that were not specified in the 2023 Agreement. NOW, THEREFORE, in consideration of the foregoing and the covenants herein set forth, the Parties agree as follows: AMENDMENT 6. The following shall replace Paragraph 3.1 of the 2023 Agreement, to read: 3.1 The Project includes the deployment of CV infrastructure at up to twenty (20) signalized intersections within the City. The final locations of these intersections shall be mutually agreed upon by the Parties through written consent of the City Engineer, or designee, and the County Transportation Director, or designee, and may be adjusted, as necessary, to support Project implementation consistent with the approved Project scope and funding requirements without requiring amendment to this Agreement. 7. Paragraph 3 of the 2023 Agreement shall now include: 3.2 For planning and coordination purposes, the Parties may document the currently identified intersections in Project records or technical memoranda; however, such documentation shall not be considered part of this Agreement. 8. The following shall replace Paragraph 6.7 of the 2023 Agreement, to read: 6.7 Project Contact Information: i. Name: Joe Cottrell, Traffic Technology Branch Manager ii. All other conditions of the 2023 Agreement not modified by this First Amendment shall remain in full force and effect. 9. This First Amendment shall become effective as of the date it is approved by the Maricopa County Board of Supervisors. Page 3 of 5 10.
