MEMORANDUM OF UNDERSTANDING
BETWEEN
Valleywise Health
AND
ECD Systems, Office of Enterprise Technology
and Maricopa County Sheriff’s Office
I.
OVERVIEW: This Memorandum of Understanding (“MOU”) is hereby entered into by and
between Valleywise Health, a Maricopa County Special Health Care District (“Valleywise”), ECD
Systems (ECDsys), Office of Enterprise Technology (OET), and Maricopa County Sheriff’s Office
(MCSO).
This MOU defines a level of understanding and cooperation between Valleywise, ECDsys, OET,
and MCSO outside any individual agreed-to contracts and formal service level agreements.
The level of understanding is that ECDsys allows Maricopa County two-way radio system to
leverage and exploit the installed First Responder antenna array and specific broadcast radio
frequency (700 MHz). This provides MCSO with the added benefit of increased signal strength
and coverage from the First Responder system.
This MOU is made effective on the date of the last signature below (“Effective Date”).
II.
OBJECTIVE: The parties agree that it is to their mutual benefit to cooperate in the
implementation and maintenance of the Emergency Responder Radio Communication System
(ERRCS) and two-way radio system for the Valleywise Health Acute Care Hospital (ACH) and
Support Services Building (SSB). The ERRCS will provide access to an internal radio frequency
compatible with two-way radio system operating at 700 MHz frequency, specifically, the Metro
Simulcast Site 31 with the following channels will be utilized:

a. ECDsys will deploy an active ERRCS antenna system throughout ACH and SSB buildings
b. ECDsys will also support access to radio frequency 700 MHz by OET two-way radio system
thereby benefiting from the ERRCS antenna installation, distribution, and RF coverage
c. ECDsys shall work with OET and MCSO to ensure the two-way radio system successfully
leverages the active ERRCS across both ACH and SSB

d. In the event of technical issues or failures, ECDsys, MCSO, OET, and Valleywise will work
collaboratively together to identify the root cause and subsequent resolution.
III.
SITE: This MOU understands that Valleywise provides a place for the installation and
maintenance of ERRCS headend equipment located on the 14th floor or penthouse Hybrid
IDF/Electrical Room of the ACH, 2619 E. Roosevelt Street, Phoenix, AZ 85008. (“Site”) including
a number of IDFs located at ACH and SSB.
a. FACILITY OWNERSHIP: Valleywise owns the building and will be responsible for
maintenance and general upkeep, HVAC, AC power, uninterruptible power supply
(“UPS”), and other utilities needed for operations. Valleywise, as the owner of the
complete system, is responsible for all updates, system additions, periodic testing and
recalibrating, and maintenance fees.
b. EQUIPMENT OWNERSHIP: ECDsys will provide the end-to-end ERRCS antenna solution
including RF support to OET
NOTE: ONCE INSTALLED AND PAID FOR THE SYSTEM BELONGS EXCLUSIVELY TO VALLEYWISE.
IV.
ACCESS: Valleywise will provide 24-hour Site access to ECDsys, and OET field service technicians
and staff for routine maintenance and repair of the Equipment. Such access may include being
escorted by security.
V.
SUPPORT: Valleywise, ECDsys, OET, and MCSO will use best effort to remediate/resolve
connectivity issues that may occur during the life of the ERRCS technology for as long as
manufacturer supports the equipment up to (5-10 yrs.)
VI.
DISCLAIMER: ECD Systems will not be held responsible for any Valleywise installed equipment
that causes interference with the ERRCS system after initial installation. ECD Systems service
department should be engaged to do additional testing and troubleshooting as needed under
typical service rates, when Valleywise has additions/changes planned. Maintenance agreement
does provide scheduled quarterly testing for system running under presumed normal
circumstances.
VII.
COMPENSATION: There are no costs or fees associated with this MOU.
VIII.
TERM:
a. System requires recertification annually. ECD Maintenance Agreement is required with
regular testing (3 times per year, recommended) to initiate recalibration, as necessary.
b. The term of this MOU shall commence upon the Effective Date and will continue until
terminated, with or without cause, by either party with a minimum of sixty (60) days
written notice.
IX.
ENTIRE AGREEMENT: This MOU constitutes the entire agreement and understanding between the
parties with respect to the subject matter herein, and supersedes and replaces any prior
agreements or understanding, whether written or oral, between the parties with respect to such
matters. The terms in this MOU may not be modified, amended, or waived, except in writing signed
by both parties.

X.
SEVERABILITY: Each provision of this MOU is intended to be severable. If any provision of the
MOU is deemed or held to be invalid, illegal, or unenforceable by a court of competent jurisdiction,
the validity, legality, and enforcement ability of the remaining provisions shall not in any way be
affected or impaired.
XI.
GOVERNING LAW AND VENUE: This MOU is governed by and shall be construed and enforced in
accordance with the laws of the State of Arizona. Any litigation arising from the MOU or the
performance thereof will be decided in the federal or state course of Maricopa County.
XII.
AUTHORITY: Each person who signs below represents and warrants that he or she is duly
authorized to execute this MOU on behalf of his/her respective entity and thereby legally bind
that entity to the terms of this MOU as of the Effective Date.
