SECOND AMENDMENT TO LEASE AGREEMENT BETWEEN 
VALOR ON EIGHTH, LLC AND MARICOPA COUNTY  
 
RECITALS 
 
A. 
Valor on Eighth, LLC, a Wisconsin limited liability company (“Lessor”), and Maricopa County, a 
political subdivision of the state of Arizona (“Lessee”) are parties to that certain Lease Agreement 
dated May 22, 2019 and amended June 09, 2021 (collectively, the “Lease”). Lessor owns certain 
real property that is improved with a 50 unit apartment building (the "Building") and related 
improvements and that is commonly referred to as 1001 E. 8th Street, Tempe, Arizona 85281 (the 
"Property").  Lessor hereby leases to Lessee approximately 1,535 gross square feet of office/class 
space (the "Premises") and Playground Area.   
 
B. 
The term of the Lease expires on June 30, 2024. 
 
C. 
Lessee and Lessor now mutually desire to enter into this Second Amendment (“Amendment”) to 
amend the Lease to: (a) extend the term; and (b) approve certain Lessee alterations. 
 
AGREEMENT 
 
NOW THEREFORE, in consideration of the foregoing and other good and valuable 
consideration, receipt and sufficiency of which is hereby acknowledged, Lessee and Lessor agree 
to amend the Lease as follows:

The Recitals, by this reference, are hereby incorporated into this Amendment.  
 
2. 
Capitalized terms used in this Amendment without definition shall have the meanings assigned to 
such terms in the Lease, unless the context expressly requires otherwise. 
 
3. 
The Lease term will be extended five (5) years to commence on July 1, 2024 and expires June 30, 
2029.   
 
4. 
 Lessor authorizes Lessee to make alterations to the Premises and Playground Area (“Additional 
Alterations”) as per Exhibit “F” which is attached hereto and made a part hereof. 
 
4.1 
Lessee shall be financially responsible for all costs associated with design, permitting, 
purchase, and installation of the work associated with the Additional Alterations in an 
amount no greater than twenty-nine thousand and 00/100 dollars ($29,000).  The Lessor shall 
not be financially responsible for any costs associated with the Additional Alterations.   
4.2 
Lessee shall be responsible for performing the work required to complete the Additional 
Alterations. All work must conform to and be in substantial accordance in quality and 
appearance with the quality and appearance of the alterations in the remainder of the 
Building.  
4.3 
Prior to the commencement of the Additional Alterations, Lessee shall ensure the contractor 
has purchased and maintains throughout construction all standard insurance coverage at 
levels standard in the industry from a company or companies duly licensed by the State of 
Arizona and require its subcontractors to maintain equivalent insurance based in their trade 
and participation in the work.

4.4 
Lessee hereby designates Bryan Jorgenson as its representative and agent for the purpose of 
questions associated with the Additional Alterations.

5. 
The Lease is subject to termination pursuant to A.R.S. 38-511, the provisions of which are 
incorporated herein by this reference. 
6. 
Lessor warrants and certifies that it does not currently, and agrees for the duration of the Lease 
that it will not, use: 
6.1 
The forced labor of ethnic Uyghurs in the People's Republic of China. 
6.2 
Any goods or services produced by the forced labor of ethnic Uyghurs in the People's 
Republic of China. 
6.3 
Any contractors, subcontractors or suppliers that use the forced labor or any goods or 
services produced by the forced labor of ethnic Uyghurs in the People's Republic of China.  
If Lessor becomes aware during the term of the Lease that the Lessor is not in compliance with 
this paragraph, Lessor shall notify Lessee within five (5) business days after becoming aware of 
the noncompliance. Failure of Lessor to provide a written certification that Lessor has remedied 
the noncompliance within one hundred eighty (180) days after notifying Lessee of its 
noncompliance, this Lease shall terminate unless the term of this Lease shall end prior to said one 
hundred eighty (180) day period.

The foregoing paragraphs contain all the changes made by this Amendment. All other terms and 
conditions of the Lease remain the same and in full force and effect, except as expressly herein

1. Installation of an automatic water faucet and in-line water filter in the main childcare area sink. 
2. Modify the light over the sink in main area to convert to flush lighting (currently a pendant style). 
3. Install a decorative iron (or similar material) barrier around water valve boxes located on the Playground 
Area.
