WHEREAS, Maricopa County, Arizona (“County”) and ESRI Canada Limited (“Contractor”) have entered into a 
Contract for the purchase of CAMA Software Solution dated December 7, 2016 (“Agreement”) County Contract No. 
13129-1-RFP. 
 
WHEREAS, County and Contractor have agreed to further modify the Agreement by changing certain terms and 
conditions; 
 
 
NOW, THEREFORE, in consideration of the foregoing, and for other good valuable consideration, receipt of 
which is acknowledged, the parties hereto agree as follows: 
1. Attached document PCR-09 details the entirety of changes contemplated by this Amendment No. 9. 
 
ALL OTHER TERMS AND CONDITIONS REMAIN UNCHANGED.

PCR-09 Details (Contract Amendment No. 9 to SERIAL 13129-1-RFP) 
 
MASTER AGREEMENT 
6.21 – PROPRIETARY RIGHTS IN DATA 
Clarified language to not release data related to parcels, accounts, or appeals without express 
authorization of Maricopa County. 
 
6.33 – FORCED LABOR 
 
Added language related to ethnic Uyghurs in the People’s Republic of China 
 
SCOPE OF WORK 
 
1.5 – ACCEPTANCE 
Modified language of Defect Classification after Final Acceptance stating that defects will be handled per 
the Software Subscription Agreement. 
 
1.6.2 (ii) – Remedy 
Added penalty language for Sev1 and Sev2 bugs that imposes a credit of a day’s subscription costs for each 
day beyond the stated fix duration for each day the defect is not resolved. 
 
1.1.5.5 – Defect Tracking 
Re-worded Severity Levels to point to the Software Subscription Agreement (Exhibit C) in addition to 
section 1.5 ACCEPTANCE as Go-Live has been passed. 
 
1.1.5.7 – Fixing Defects 
Re-worded Defect severity levels to point to the Software Subscription Agreement (Exhibit C) in addition to 
section 1.5 ACCEPTANCE as Go-Live has been passed. 
 
3.3 – Cloud Hosting Costs 
Re-worded to have Esri Canada continue to host the system for the County at a fixed annual price as 
opposed to moving the system to a County hosted container.  Includes language around system backup 
and security. 
 
EXHIBIT B, PRICE AGREEMENT 
 
1 – TOTAL NOT TO EXCEED FOR INITIAL TEN (10) YEAR TERM  
Increased Total Contract amount by $4,064,000; based on Esri Canada continuing to host the system at a 
fixed annual price through the end of the initial 10-year term (December 31, 2026) $3,624,000 (Exhibit B, 
1.5), the addition of an Optional $560,000 in further system development (Exhibit B 1.6), and the removal 
of ($120,000) in Azure Maintenance Costs previously charged by Esri Canada (Exhibit B, 1.5). 
 
 
SOFTWARE SUBSCRIPTION AGREEMENT 
 
8.9 – Defect evaluation and classification 
Re-worded defect Severity Levels to better align with a production system as opposed to a pre-acceptance 
system.

8.9.x – Modified language for defect severity levels to allow two days for agreement on the severity level from the 
current one day. Severity examples also updated to better reflect production system defects.
