Resolution No. 13607 authorizes Contract No. 2021-023-COS-A4 with the.Scottsdale Unified
School District No. 48 (SUSD j. This fourth amendment to the intergovernmental agreement
extends the term through June 30,2027.
BACKGROUND
In March 2021, the City Council approved an intergovernmental agreement (“IGA”) (Contract No.
2021-023- COS) authorizing the City Auditor to conduct a specific audit for SUSD. This IGA also
provided possible future additional audits though contract amendments.
Since.2021, the City Auditor’s Office bas conducted a total of four audits under the IGA. The City
Council and the SUSD Governing Board have approved three amendments for additional audits.
Each amendment describes the scope of work and estimated reimbursement amount to the city.
While no audits are currently planned, the existing IGA has a five-year term,expiring March 16'^
2026. SUSD wishes to continue the partnership with the City and extend the existing IGA through
June 30,2027. This will allow time for the development of a new IGA, as well as the possibility of
requesting additional audit services. Any additional audit services would be outlined in a separate
amendment, includingthe reimbursement amount forthe requested services.
At its February 10'^ meeting, the SUSD Governing Board voted to approve this term extension to the
intergovernmental agreement With the City of Scottsdale.
IMPACT ANALYSIS
Policy Implications
The intergovernmental agreement and this proposed contract amendment are consistent with the City
Council’s goal of partnering with other jurisdictions, particularly with the school districts.
Staffing, Workload Impact
Currently, there are no planned audits. Approving this IGA extension would allow audit services to
be requested in the future. Should an audit be requested, the City Auditor will evaluate the
Action Taken .

availability of resources to perform the audit and any potential impact on the Council-approved
Audit Plan.
Cost Recovery Options
As established in the IGA, SUSD will reimburse the City Auditor’s operating costs of providing audit
services. This cost recovery will be deposited to the city’s General Fund, which funds the office.

Recommended Approach
Adopt Resolution No. 13607 authorizing Contract No. 2021-023-COS-A4, an amendment to extend
the original IGA to provide audit services for the Scottsdale Unified School District.

A RESOLUTION OF THE COUNCIL OF THE CITY OF SCOTTSDALE, MARICOPA
COUNTY, ARIZONA, AUTHORIZING A FOURTH AMENDMENT TO
INTERGOVERNMENTAL AGREEMENT CONTRACT NO. 2021-023-COS WITH
SCOTTSDALE UNIFIED SCHOOL DISTRICT NO. 48 TO AMEND THE TERM OF THE
AGREEMENT.
WHEREAS, the City of Scottsdale (the “City”) and Scottsdale Unified School District No. 48 (the
“District") are parties to that certain Intergovernmental Agreement bearing City Contract No. 2021-023-COS
and executed on March 16, 2021 (the “Agreement”); and
WHEREAS, the City and the District previously amended the Agreement through amendments
bearing City Contract Nos. 2021-023-COS-A1 (the “First Amendment”), 2021-023-COS-A2 (the “Second
Amendment"), and 2021-023-COS-A3 (the “Third Amendment”); and
WHEREAS, the City and the District now wish to further amend the term of the Agreement.
NOW, THEREFORE, BE IT RESOLVED by the Council of the City of Scottsdale, Maricopa County,
Arizona, as follows;
Section 1. The City Council hereby authorizes, approves, and directs the Mayor to execute, on
behalf of the City, Contract No. 2021-023-COS-A4, a Fourth Amendment to the Intergovernmental
Agreement between the City and Scottsdale Unified School District No. 48 to amend the term of the
Agreement.
Section 2. The City Council hereby authorizes the City Auditor or designee to execute such other
documents and take such other actions as are necessary to carry out the intent of this Resolution.

FOURTH AMENDMENT TO
INTERGOVERNMENTAL AGREEMENT
THIS FOURTH AMENDMENT TO INTERGOVERNMENTAL AGREEMENT (the "Fourth
Amendment") is made this______ day of_____________. 2026 between the SCOTTSDALE
UNIFIED SCHOOL DISTRICT NO. 48, an Arizona school district ("School District”) and the CITY
OF SCOTTSDALE, an Arizona municipal corporation ("City").
RECITALS
A.
The School District and the City entered into Intergovernmental Agreement, City
Contract No. 2021-023-COS (the “Agreement”), which was approved by the Scottsdale City
Council on March 16, 2021 by Resolution No. 12083.
B.
The Agreement has since been amended through the First Amendment (City
Contract No. 2021-023-COS-A1: Resolution No. 12574), the Second Amendment (City Contract
No. 2021-023-COS-A2; Resolution No. 12926), and the Third Amendment (City Contract No.
2021-023-COS-A3; Resolution No. 13261).
C.
Paragraph 12 of the Agreement (“Future Audits") contemplates that the Parties
may amend the Agreement to include additional audits with governing body approval.
D.
The Parties now desire to amend the Agreement to amend Paragraph 1 of the
Agreement (“Term").
NOW, THEREFORE, in consideration of the foregoing and intending that the City rely
upon this Fourth Amendment in undertaking to provide additional audit services and extend the
term of the Agreement, the parties agree as follows:
A. Amendment to Paragraph 1 - Term of Agreement
Paragraph 1 of the Agreement is deleted in its entirety and replaced with the following:
1. Term of Agreement.
The term of this Agreement, as amended, shall commence on the Effective Date and shall
continue in effect until all obligations and rights of the Parties under the Agreement have
been performed, terminated, or have expired, but no later than June 30, 2027.
B. All Other Terms
All other terms and conditions of the Agreement not amended herein remain in full force
and effect as previously adopted.
