RE: Building Homes for Heroes; Fee Reimbursement

Dear David:

This Letter Agreement (“Agreement”) is entered into by and between the City of
Goodyear (“City”) and KB Home Phoenix Inc., an Arizona corporation (“KB Home’).

KB Home is developing residential property within the Ventana de Estrellas
community located in Goodyear, Arizona (the “Community”) and is partnering with
Building Homes for Heroes Inc. to construct and provide a residential home within the
Community to a military veteran and their family. In consideration of the public benefit
associated with providing homes to veterans, the City desires to reimburse certain fees
paid by KB Home, subject to the terms and conditions set forth herein.

The property subject to this Agreement shall be the single-family residential lot
identified as Lot 276 within the residential subdivision of Ventana de Estrellas, in
Goodyear, Arizona, with Maricopa County Assessor's Parcel Number 502-42-563
(“Property”).

KB Home shall construct a single-family home on the Property and convey the
Property to an eligible recipient through the Building Homes for Heroes program and in
accordance with this Agreement. Subject to compliance with this Agreement, the City
agrees to reimburse KB Home building permit fees, water meter fees and development
impact fees actually paid by KB Home to the City in connection with development of the
Property. The City’s reimbursement of funds is expressly conditioned upon the Property
being conveyed to a qualifying recipient through the Building Homes for Heroes program
and shall not apply to any other lot, unit, phase, or single-family home within the
Community.

City shall initiate reimbursement to KB Home for: building permit fees in the
amount of Four Thousand Five Hundred Fifty-Four Dollars ($4,554.00); water meter fees
in the amount of Five Hundred Sixty-Three Dollars ($563.00); and development impact
fees in the amount of Sixteen Thousand Four Hundred Eight Dollars ($16,408.00) within
thirty (30) days after City Council approval of this Agreement. The total reimbursement

amount paid by the City to KB Home shall not exceed Twenty-One Thousand Five
Hundred Twenty-Five Dollars ($21,525.00).

After issuance of a certificate of occupancy for the single-family residence
constructed on the Property, the City may request documentation from KB Home
demonstrating that the Property was conveyed to a qualifying recipient through the
Building Homes for Heroes program. KB Home shall provide the requested
documentation within thirty (30) days after receipt of the City’s written request. If KB
Home fails to provide the requested documentation within such thirty (30) day period,
KB Home shall reimburse the City for the full amount of the reimbursement previously
paid by the City to KB Home.

This Agreement constitutes the entire agreement between the parties regarding
the subject matter herein and supersedes all prior discussions or understandings. This
Agreement is effective as of the date last signed below (“Effective Date”) by and between
the City and KB Home.
