THE ABOVE-REFERENCED CONTRACT IS AMENDED AS FOLLOWS: 
 
 
 
1. Recitals.  
 
A. SUB-RECIPIENT has elected not to proceed with the only project, “Associated Transit 
Improvements,” provided for under Contract No. 155598 (“Contract”), a grant pass-thru 
agreement.  
 
B. The Parties now desire to amend and mutually terminate the Contract by Amendment No. 
1.  
 
C. The Parties acknowledge that Amendment No. 1 is made in good faith and its terms and 
conditions are reasonable and fair under the circumstances.  
 
2. Termination. The Parties mutually agree to a termination of the Contract, operative on the 
Effective Date provided above. Neither Party has any continuing rights and obligations under 
the Contract. Each party releases and discharges the other Party from any and all claims and 
liabilities whatsoever relating to or arising out of the Contract.  
 
3. Funding Reassignment. The Parties acknowledge the Contract’s only project, “Associated 
Transit Improvements,” was never completed or billed so no refunds of federal or local funding 
are necessary between the Parties, and pursuant to the Contract’s Section 1, federal funding 
for this project may now be reassigned to other subrecipients at the discretion of PHOENIX. 
 
4. Effective Date. The effective date of this Amendment No. 1 is the date provided above.
