RESOLUTION NO. 5545

AUTHORIZING PROJECT AGREEMENT NO. 5 UNDER THE PUBLIC
INFRASTRUCTURE MASTER AGREEMENT DATED MAY 24, 2019,
BETWEEN THE CITY OF CHANDLER AND INTEL CORPORATION, A
DELAWARE CORPORATION, FOR THE CONSTRUCTION OF
IMPROVEMENTS TO THE CITY’S AIRPORT AND OCOTILLO WATER
RECLAMATION FACILITIES NEEDED TO SERVE INTEL’S CAMPUS AT
4500 S. DOBSON ROAD.

WHEREAS, City and Intel are parties to that certain Public Infrastructure Master Agreement
dated May 24, 2019, which provides for the construction and financing of public infrastructure
necessary to serve a manufacturing facility under A.R.S. § 42-5032.02; and

WHEREAS, effective February 1, 2021, City and Intel entered into a Reclaimed Water
Agreement setting forth the terms and conditions under which City will make additional
reclaimed water available to Intel for use at its Ocotillo campus in Chandler, including the
construction of related public infrastructure described in the Reclaimed Water Agreement as the
“Phase 2 Improvements”; and

WHEREAS, effective September 30, 2021, City and Intel entered into a Development
Agreement setting forth the terms and conditions for the construction and financing of certain
public infrastructure in connection with Intel’s expansion of its Ocotillo campus in Chandler,
including the Phase 2 Improvements; and

WHEREAS, the cost of the Phase 2 Improvements is $35 million, of which $28 million will be
paid from funds available to City under A.R.S. § 42-5032.02 and the remainder will be paid by
City up to City’s Maximum Contribution amount as provided in the Development Agreement.

NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Chandler, Arizona,
as follows:

Section 1. The City of Chandler is authorized to enter into the Project Agreement No. 5
between the City and Intel in substantially the form attached to this Resolution as
Exhibit “A”.

Section 2. The Mayor is authorized to execute Project Agreement No. 5 and this Resolution
on behalf of the City of Chandler.
