City Clerk Document No. City Council Meeting Date: October 27, 2022 AMENDMENT TO CITY OF CHANDLER AGREEMENT 457(b) DEFERRED COMPENSATION PLAN AND RETIREMENT HEALTH SAVINGS PLAN ADMINISTRATIVE SERVICES CITY OF CHANDLER AGREEMENT NO. 3111 THIS AMENDMENT No. 5 (Amendment No. 5) is made and entered into by and between the City of Chandler, an Arizona municipal corporation (City), and International City Management Association Retirement Corporation (ICMA-RC), d/b/a MissionSquare Retirement, a Delaware non-profit corporation (Contractor) (City and Contractor may individually be referred to as Party and collectively referred to as Parties) and made , 2022 (Effective Date). RECITALS WHEREAS, the Parties entered into an agreement for administrative and other services for the 457(b) Deferred Compensation Plan and the Retirement Health Savings Plan (Agreement); and WHEREAS, the initial term of the Agreement was January 1, 2013, through December 31, 2015, with the option for up to two three-year extensions; and WHEREAS, the Parties amended the Agreement to exercise the two three-year options and make technical and administrative changes to the Administrative Services Agreement for the 457(b) Plan as well as add options to extend the Agreement for up to two additional one-year periods, and WHEREAS, the Parties amended the Agreement to exercise the option to extend the Agreement for the first one-year period; and WHEREAS, the Parties wish to extend the Agreement for one year. AGREEMENT NOW THEREFORE, the Parties agree as follows: 1. The recitals are accurate and are incorporated and made a part of the Agreement by this reference. All other material terms and conditions of the Agreement remain unchanged and in full force and effect. If a conflict or ambiguity arises between this Amendment No. 5 and the Agreement, the terms and conditions in this Amendment No. 5 prevail and control.
