AMENDMENT TO CITY OF CHANDLER AGREEMENT 
LABORATORY TESTING SERVICES 
CITY OF CHANDLER AGREEMENT NO. PW9-962-4035 
THIS AMENDMENT NO. 4 (Amendment No. 4) is made and entered into by and between the City of Chandler, 
an Arizona municipal corporation (City), and Eurofins Environment Testing Southwest, LLC, formerly known as 
Eurofins TestAmerica Laboratories, Inc. (Contractor), (City and Contractor may individually be referred to as 
Party and collectively referred to as Parties) and made   
 
 , 2023 (Effective Date). 
RECITALS 
WHEREAS, City Council approved the award of multiple Agreements for laboratory testing services (Agreement); 
and 
WHEREAS, the term of the Agreement was May 1, 2019, through April 30, 2020, with the option of up to four 
one-year extensions; and 
WHEREAS, the City wishes to extend the term of the multiple Agreements for laboratory testing in an amount 
not to exceed $479,000 for the extension term; and 
WHEREAS, the Parties wish to exercise the fourth option through this Amendment No. 4 to extend the 
Agreement for one year. 
AGREEMENT 
NOW THEREFORE, the Parties agree as follows: 
1.
The recitals are accurate and are incorporated and made a part of the Agreement by this reference.
2.
Section III, Period of Service is amended to read as follows:  The term of the Agreement is extended for
a one-year period May 1, 2023, through April 30, 2024
3.
Section IV, Payment of Compensation and Fees is amended to read as follows: The City will pay the
Contractor the per unit cost set forth in Revised Exhibit B of the original Agreement, attached to and
made a part of this Amendment No. 4. Total payments made to the Contractor during the term of this
Amendment No. 4 will not exceed $479,000.

4.
Exhibit C, changes to Scope of Work, attached to and made a part of this Amendment No. 4,
become part of the agreement.
5.
All other terms and conditions of the Agreement remain unchanged and in full force and
effect. If a conflict or ambiguity arises between this Amendment No. 4 and the Agreement, the
terms and conditions in this Amendment No. 4 prevail and control.

EXHIBIT C 
The following changes to the scope of work of the original agreement become part of this agreement. 
Transportation- 
Contractor shall provide for delivery of sample sets and pickup of field samples to and from the 
City.  Contractor shall pick up field samples as needed but generally between 10:00am- 3:00pm, 
Monday through Friday.  Contractor shall provide all necessary shipping containers.   
Written Reporting of Analysis Results- 
•
The following paragraph is removed from the agreement.
• “Contractor shall submit typewritten final reports for air sample results to the city 
contract administrator or their designee within five (5) calendar days of Contractors 
receipt of each sample”.
•
15 working days for all including subcontract labs within Eurofins entities and 20 working 
days if it is subcontracted to any other, outside of Eurofins entities.
•
City reserves the right to enforce penalties for late sample results. A two percent (2%) penalty 
for the first working day and a 1 percent (1%) penalty each working day thereafter up to a 
maximum of 50% per report will be charged to Contractor for each working day that delivery 
of the written report(s) and/or electronic data exceed the above specified delivery times, 
provided that City has informed Contractor of the sample delivery schedule in advance, 
Contractor has specifically committed after such notice to the turnaround time for delivery, 
and samples arrived within 2 days of the schedule, without significant differences in the 
sample volume or analysis parameters from the advance notice. Contractor shall be liable for 
penalties for all late analyses, including subcontracted analyses. Fines or penalties levied 
against City by the State or Federal government due to late submittal of analysis results due 
to Contractor exceeding the above specified delivery times, shall be paid by Contractor.
