Purpose of Grant (brief statement): Our request to Ak-Chin Indian Community this year is to help provide

some of the most essential simulation training equipment needed for our physician residents. Medical

simulation allows the acquisition of clinical skills through deliberate practice rather than an apprentice-
Style learning. Simulation tools are an alternative to real patients where trainees can practice without fear.

Describe the proposed program, project or purchase

Hospitals across the country are suffering from the effects of severe staff shortages and increased costs
of care, supplies and equipment. Nationally, 2023 has proven to be one of the most financially
challenging years to date for hospitals. Chandler Regional and Mercy Gilbert are no exceptions. In
addition, our hospitals are experiencing higher patient counts due to aggressive population growth in
the surrounding communities. These economic factors have placed a huge strain on our facilities,
services, and community outreach to our most vulnerable neighbors. We need the community’s help to
continue to provide access to high-quality care and advancing specialized care.

As East Valley communities continue to grow at an unprecedented rate, our area is experiencing a
shortage of nearly 250 primary care providers. Due to an aging, growing, and increasingly insured
population, it is important to address physician shortages. According to the American Academy of Family
Physicians, statewide, more than 3 out of 5 Arizonans live in a health professional shortage area. It is
projected that a 50% increase in physicians is needed by 2030 (nearly 2,000), which underscores the
current deficiency in personalized and specialized health care. This greatly impedes residents’ access to
care,

Chandler Regional and Mercy Gilbert Medical Centers are addressing the growing physician shortage in
the East Valley by training the next generation of physicians. These physician residents learn medicine
and treat patients with humankindness under the mentorship of Dignity Health teaching faculty
physicians. Resident programs provide many advantages to the community including:

® Increasing the quality and safety of medical care provided;

e@ Enticing high-level physicians and specialists to the area to conduct research at a teaching
hospital;
Providing more physicians who will care for vulnerable populations; and
Allowing all populations in the area to have greater access to care

Upon completion of medical school, physicians who have earned their MD or DO degrees continue their
training in hospitals under the mentorship of staff physicians. A large part of this education includes
training on simulation and virtual reality equipment. These training tools are crucial. Residents will use
them to practice procedures throughout their residency so that when they perform procedures on
patients, they have done the procedures numerous times and can provide excellent quality care, right
from the start.

One of the most significant benefits of offering a residency program is the fact that physicians become
embedded in the communities in which they do their residency. Research shows that 55% of physicians
stay in the area after they complete their residency. This is the best way to attract well-trained, qualified
physicians to our community and keep them here. Offering residency programs in key clinical areas will
amplify the impact our ministry is able to make on our community’s health. Our program will be a place
for community health providers to turn to recruit the next generation of respected, compassionate
providers. We aim to champion diversity and inclusion by training the next generation of health care
providers that best represent our community, including our rural and Native American Community
neighbors.

Dignity Health’s residency program begins this July 2023 with 28 residents assigned to Internal
Medicine, General Surgery and Family Medicine. Over the next two years we will add another 31

residents and two additional specialties ~ Emergency Medicine and Obstetrics/Gynecology, for a total of
59 residents. Residents are with us for three years and by 2028, we will host 124 new and continuing
residents each year.

Last year, Ak-Chin Indian Community very generously supported construction projects that are needed
to provide the physical space for our residents. Some of these construction projects included developing
an auditorium in which physicians can gather for group learnings called Grand Rounds. Additionally,
residents spend many hours at the hospital so we have renovated lounge areas and resting quarters for
their use. Lastly, we are building out a formal simulation lab to create space for much-needed hands-on
simulation equipment. The acquisition of such training equipment has now become one of our top
priorities relating to our residency program.

Medical simulation allows the acquisition of clinical skills through deliberate practice rather than an
apprentice style of learning. Simulation tools serve as an alternative to real patients. A trainee can make
mistakes and learn from them without the fear of harming the patient.

“A key component of any successful residency program is to be able to provide the residents with the
necessary educational equipment to prepare them for their careers. This includes patient simulation
mannequins so that resident physicians can actively learn the necessary physical and cognitive skills
required to successfully identify and treat potential life-threatening conditions.

Likewise, the standard of care in Emergency Medicine is to utilize non-invasive diagnostic testing
whenever possible. This requires point-of-care ultrasounds that are used not only for physician training
but also directly improves and impacts patient care." - Dr. Erik Mattison, Emergency Medicine Residency

Our request to Ak-Chin Indian Community this year is to help provide some of the most essential
simulation training equipment needed for our residents including GE Venue R4 Premier Point of Care
Ultrasound System, and a SimMan 3G PLUS Simulation Mannequin. The total funding necessary to
acquire these devices is $238,117.50.

Identify the target population that will be served by the Project. (Who will benefit? How many will be
served? Is there a targeted geographic location?

Our Physician Training program will train residents at Dignity Health hospitals in the East Valley that
benefit the general public in the surrounding areas. Chandler Regional has the only Level 1 trauma
center in the area and, along with Mercy Gilbert Medical Center, serves residents in the suburbs of
Chandler, Gilbert, Maricopa, Mesa, Queen Creek, Apache Junction, San Tan Valley, and the Ak-Chin and
Gila River Indian Communities, totaling nearly 1 million people.

Our award-winning hospitals are home to a full range of services and have evolved as the population in
our communities have grown and changed. The formation of our physician resident program is the next
step in that evolution. Once our residents graduate from our program and begin their practice, access
to care will increase significantly throughout our community, particularly in some of the most critically-
needed specialties. Beginning in 2028, 124 physicians per year will graduate from our program, thus
increasing access to care for millions of residents in the Valley.

We believe that immersive community engagement is a critical factor in delivering the most
comprehensive and compassionate care possible to our growing communities. We know that seeing our
patients in our familiar health care settings isn’t enough to address holistic health needs or address
disparities. Community responsive healthcare and service to the community are important parts of both
patient care and resident education.

The community outreach component of our curriculum provides experiential opportunities to meet,
treat, and interact with our community — where they are. All resident training activities are designed to
nurture an intrinsic understanding of the social determinants of health that affect our communities.

Describe the Project goals and objectives and outline a plan to meet these goals.

The appropriate space and resources are needed for this valuable program. Thanks to your generous
donation last year, we are adapting our current space into an innovative learning environment. Now we
must acquire the training equipment for physician residents to learn and practice their surgical and

Our educational staff and leadership are in place with Allan Markus MD MS MBA FACP serving as
Internal Medicine Residency Program Director, Clarence E. Clark {Il, MD, MBA, FACS, FASCRS serving as
General Surgery Residency Program Director, and Richard P. Kratche MD, FAAFP serving as Family
Medicine Residency Program Director. All accreditations have been secured. And, after many months
(early October — end of January) of filtering through over 1,200 applications and conducting 158
interviews, our residents were selected on Match Day which was March, 17, 2023. Facilities will be
ready for residents when they arrive in late June, and we will continue to pursue funding for the many
pieces of simulation equipment needed for our residents to train on.

Identify current funding sources for the Project and characterize each funding source listed as either a
one-time-only or long-term funding source.

Capital funds made available by Dignity Health for one-time use are being utilized to help launch this
program. Faculty and leadership are funded through their salaries by Dignity Health. Ak-Chin indian
Community provided general construction funds last year. Through a one-time grant from the Arizona
Lottery, we are able to provide handheld Point of Care Ultrasound (PoCUS) devices to our residents.
PoCUS devices are state-of-the-art diagnostic tools, sometimes referred to as the “new stethoscope.”

Identify other organizations or partners that are participating in or contributing to the Project, but
which are not funding sources, and describe their roles or contributions.

Partners in our GME enterprise include:
@ Construction and design partners which are renovating and building the required spaces.
@ The Accreditation Council for Graduate Medical Education sets and monitors voluntary
professional educational standards essential in preparing physicians to deliver safe, high-quality
medical care.

e Each residency program has a robust network of top-tier physicians with a variety of sub-
specialty expertise (Full Faculty list available upon request).

Dignity Health’s Graduate Medical Education program is new to the East Valley. While startup costs are
significant, $7.2 million for construction and equipment, once the program is running, it will become
part of the hospitals’ ongoing operational costs. The Executive Leadership of Dignity Health East Valley
undertakes the responsibility for overseeing the operations of all assets, as well as making frontline
recommendations for budget and capital allocations.

1. Definitions. As identified in this Agreement, “Equipment” is hardware and embedded software that is licensed with the purchase of the
hardware delivered to Customer in GE Healthcare’s packaging and with its labeling; “Software” is software developed by GE Healthcare and/or
delivered to Customer in GE Healthcare’s packaging and with its labeling, and Documentation associated with the software; “Third Party Software”
and “Third Party Equipment” are respectively software developed by a third party, and hardware and embedded software that is licensed with the
purchase of the hardware, that is delivered to Customer in the third party’s packaging and with its labeling (collectively, “Third Party Product”),
“Product” is Equipment, Software and Third Party Product; “Services” are Product support or professional services; “Subscription” is a limited-term,
non-transferable license to access and use a Product (except Healthcare Digital Products), including any associated support Services; “Healthcare
Digital Produets” are: (i) Software identified in the Quotation as “Centricity”; (ii) Third Party Software licensed for use in connection with Centricity
Software; (iii) hardware used to operate Centricity or Third Party Software; (iv) Services provided for implementation, installation or support and
maintenance of Centricity or Third Party Software licensed for use in connection with Centricity Software; and/or (v) any Product or Service that is
identified in a Healthcare Digital Quotation. “Specifications” are GE Healthcare’s written specifications and manuals as of the date the Equipment
shipped; and “Documentation” is the online help functions, user instructions and manuals regarding the installation and operation of the Product as
made available by GE Healthcare to Customer.

2 Term and Termination. Software licenses, Services and/or Subscriptions will have individual term lengths identified in the Quotation. If
there is a material breach of this Agreement and/or the Quotation that is not cured by the breaching party within 60 days from receipt of written
notice, the non-breaching party can terminate the respective Agreement or Quotation, Other than as set forth in this Agreement, neither party can
unilaterally terminate this Agreement or a Quotation. Any remaining undisputed, unpaid fees become immediately due and payable on expiration or
termination. Expiration or termination of this Agreement will have no effect on Quotations executed prior to the date of expiration or termination.

3. Software License. Other than as identified in a Quotation, GE Healthcare grants Customer a non-exclusive, non-transferable, non-
sublicensable, perpetual license to use the Software for Customer’s internal business purposes only in the United States consistent with the terms of
this Agreement. Customer’s independent contractors (except GE Healthcare competitors) may use the Software, but Customer is responsible for
their compliance with this license, and additional license fees may apply. Customer cannot modify, reverse engineer, copy or create derivative works
of the Software, except for making 1 backup copy, and cannot remove or modify labels or notices of proprietary rights of the Software or
Documentation. If GE Healthcare provides Third Party Software, Customer will comply with third party license terms, and licensors are third-party
beneficiaries of this Agreement.

4, Commercial Logistics

41 Order Cancellation and Modifications.

4.1.1. Cancellation. If Customer cancels an order prior to shipment without GE Healthcare’s written consent, Customer will be responsible
for all third-party expenses incurred by GE Healthcare prior to Customer’s order cancellation and GE Healthcare may charge: (1) a fee of up to 10%
of the Product price; and (ii) a fee for site evaluations performed prior to cancellation. GE Healthcare will retain, as a credit, payments received up
to the amount of the cancellation charge. Customer must pay applicable progress payments (other than final payment) prior to final calibration, and
GE Healthcare may delay calibration until those payments are received. If Customer does not schedule a delivery date within 6 months after order
entry, GE Healthcare may cancel on written notice, This Section does not apply to Software or Subscriptions, Third Party Products and/or related
professional or installation services; those orders are non-cancellable.

4.1.2 Used Equipment. Equipment identified as pre-owned, refurbished, remanufactured or demonstration Equipment is not new and may
have received reconditioning to meet Specifications (“Used Equipment”). Sale of Used Equipment is subject to availability. If it is no longer
available, GE Healthcare will attempt to identify other Used Equipment in its inventory that meets Customer's needs, and if substitute Used
Equipment is not acceptable, GE Healthcare will cancel the order and refund any deposit Customer paid for the Used Equipment.

4.2 Site Preparation. Customer is responsible for network and site preparation, including costs, in compliance with GE Healthcare’s written
requirements and applicable laws, GE Healthcare may refuse to deliver or install if the site has not been properly prepared or there are other
impediments.

43 Transportation, Title and Risk of Loss. Unless otherwise identified in the Quotation, shipping terms are FOB Destination. Title and risk of
loss to Equipment and Third-Party Equipment passes to Customer on delivery to Customer’s designated delivery location.

4.4 Delivery, Returns and Installation. Delivery dates are approximate. Products may be delivered in installments. GE Healthcare may invoice
multiple installment deliveries on a consolidated basis, but this does not release Customer’s obligation to pay for each installment delivery. Delivery
occurs: (i) for Product, on electronic or physical delivery to Customer; and (fi) for Services, on performance.

Products cannot be returned for refund or credit if they match the Quotation.

Delivery and installations will be performed from 8am to Spm local time, Monday-Friday, excluding GE Healthcare holidays, and outside those
hours for an additional fee. Customer will: (i) install cable and assemble products not provided by GE Healthcare; (ii) enable connectivity and
interoperability with products not provided by GE Healthcare; (iii) pay for construction and rigging costs; and (iv) obtain all licenses, permits and
approvals for installation, use and disposal of Products. For upgrades and revisions to non-Healthcare Digital Products, Customer must return
replaced components to GE Healthcare at no charge.

4.5 Information Technology Professional Services (‘ITPS”). ITPS must be completed within 12 months of the later of the ITPS order date or

Product delivery. If not done within this time period, other than because of GE Healthcare's failure to perform, ITPS performance obligations expire
without refund, ITPS includes project management, HL7/HIS system integration, database conversion, network design and integration and
separately cataloged software installations. This Section does not apply to Healthcare Digital Products.

46 Acceptance.

4.6.1 Equipment Acceptance. Beginning on completion of installation (not to exceed 30 days from shipment) or delivery (if installation is
not required), Customer will have 5 days to determine if the Equipment operates substantially in accordance with Specifications (“Equipment Test
Period”). If the Equipment fails to perform accordingly, Customer will provide to GE Healthcare: (i) written notice; (ii) access to the Equipment;
and (iii) a reasonable time to bring the Equipment into compliance. After correction by GE Healthcare, Customer will have the remainder of the
Equipment Test Period or 3 days, whichever is greater, to continue testing. Equipment is accepted on the earlier of expiration of the Equipment Test
Period or the date the Equipment is first used for non-acceptance testing purposes.

4.6.2 Software Acceptance. Beginning on completion of Software implementation, Customer will have 30 days to determine if the
Software operates substantially in accordance with the Documentation (“Software Test Period”). If the Software fails to perform accordingly,
Customer will provide to GE Healthcare: (i) written notice; (ii) access to the Software; and (iii) a reasonable time to bring the Software into
compliance. After correction by GE Healthcare, Customer will have the remainder of the Software Test Period or 5 days, whichever is greater, to
continue testing, Software is accepted on the first to occur of: (a) expiration of the Software Test Period; (b) the date Software is first used to process
actual data; or (c) the “Go-Live Date” as defined in the Quotation.

4.6.3 Third Party Product Acceptance. Third Party Products are accepted 5 days after delivery.

4.6.4 Subscription Acceptance. Products provided pursuant to a Subscription are accepted 5 days after GE Healthcare provides Customer
access to the Products,

4.7 Third Party Products and Services. If GE Healthcare provides Third Party Products and/or Services, then (i) GE Healthcare is acquiring them
on Customer’s behalf as its agent and not as a supplier; (ii) GE Healthcare provides no warranties or indemnification, express or implied; and (iii)
Customer is responsible for all claims resulting from or related to their acquisition or use.

4.8 Mobile Equipment. GE Healthcare will assemble Equipment it has approved for mobile use at the vehicle location identified by Customer.
Customer will comply with the vehicle manufacturer’s planning requirements and arrange for delivery of the vehicte. Equipment placed in a mobile
environment must be used for medical, billing, or other non-entertainment use by bona fide medical professionals authorized to use and prescribe
such use.

45 — Audit. GE Healthcare may audit Customer’s use of Software, Subscription and Healthcare Digital Products to verify Customer’s compliance
with this Agreement up to 12 months following termination or expiration of the applicable Quotation. Customer will provide reasonable assistance
and unrestricted access to the information. Customer must pay underpaid or unpaid fees discovered during the audit, and GE Healthcare’s reasonable
audit costs, within 30 days of written notification of the amounts owed. If Customer does not pay, or the audit reveals that Customer is not in
compliance, GE Healthcare may terminate Customer’s Software license, Subscription or use of the Healthcare Digital Product.

4.10 Product Inflation. For GE Healthcare imaging Products only (to exclude ultrasound and life care solutions Products), due to the potential fong
cycle time from Product order to Product delivery, GE Healthcare may increase Product Total Quote Net Selling Price by an amount equal to the
increase in the U.S, Bureau of Labor Statistics Consumer Price Index (“CPI”) from the date of Product order to the date of notice prior to Product
delivery, by providing at least 4 weeks prior notice from the requested delivery date.

5. Security Interest and Payment.

5.1 Security Interest. Customer grants GE Healthcare a purchase money security interest in all Products in the Quotation until full payment is
received, and Customer will perform ail acts and execute all documents necessary to perfect GE Healthcare’s security interest.

5.2 Failure to Pay. If, after Product delivery, Customer is more than 45 days past due on undisputed payments, GE Healthcare may, on 10 days’
prior written notice, disable and/or remove the Products.

5.3. Lease. If Customer leases a Product, Customer continues to be responsible for payment obligations under this Agreement.

6. Trade-In Equipment. Trade-in equipment identified in a Quotation will be subject to separate trade-in terms and conditions,
