AND
THE CITY OF CHANDLER
THIS AMENDMENT NO. ONE to INTERGOVERNMENTAL AGREEMENT (the “Amendment No.
One”), is entered into this date ______________________________, pursuant to Arizona Revised Statutes
(“A.R.S.”) §§ 11-951 through 11-954, as amended, between the STATE OF ARIZONA, acting by and
through its DEPARTMENT OF TRANSPORTATION (the "State" or “ADOT”) and the CITY OF
CHANDLER, (the “City”).The State and the City are each individually referred to as a “Party” and are
collectively referred to as the “Parties.”
WHEREAS, the INTERGOVERNMENTAL AGREEMENT, IGA 21-0008107-I, A.G. Contract No.
P0012021001631, was executed on December 20, 2022, (the “Original Agreement”);
WHEREAS, the State is empowered by A.R.S. § 28-401 to enter into this Amendment No. One and
has delegated to the undersigned the authority to execute this Amendment No. One on behalf of the
State;
WHEREAS, the City is empowered by A.R.S. § 48-572 to enter into this Amendment No. One and has
by resolution, if required, a copy of which is attached and made a part of, resolved to enter into this
Amendment No. One and has authorized the undersigned to execute this Amendment No. One on
behalf of the City; and
NOW THEREFORE, in consideration of the mutual terms expressed herein, the purpose of
this Amendment No. One is to revise Project costs and the Parties’ responsibilities; Exhibit A
is revised and replaced accordingly. The Parties desire to amend the Original Agreement, as
follows:
The Parties incorporate the paragraphs set forth above as part of the body of this
Amendment No. One.

I.
RECITALS
Section I, Paragraph 3. is revised, as follows:
3. The State will design and construct one general purpose lane in each direction on the outside
of SR 202L from Val Vista Drive to Gilbert Road and two general purpose lanes in each
direction from Gilbert Road to SR101, (the “State’s Project”). The State’s Project includes
improvements consisting of mill and overlay, concrete repairs, and median and ADA
upgrades associated with State right of way abandonments on City crossroads. At the
request of the City, the State will administer the design and construction of additional
aesthetic enhancements within the SR 202L corridor (City Requested Aesthetic Features in
Exhibit A) and mill and overlay on City crossroads (City Requested Additional Mill and Fill in
Exhibit A), (the “City’s Project”). The City’s Project includes improvements at an estimated
cost of $660,500.00, as shown on Exhibit A.
On behalf of the State, the City will reconstruct sidewalks and curb ramps on certain
crossroads in State right of way (ADA Features Removed in Exhibit A), (the “City’s ADA
Features Project”). The cost of the City’s ADA Features Project is estimated at $433,105.00,
as shown in Exhibit A.
The estimated cost of the City’s ADA Features Project of $433,105.00 will be deducted from
the estimated cost of the City’s Project, $660,500.00. The City will be responsible for the
difference, estimated at $227,395.00.
The State’s Project, the City’s Project, and the City’s ADA Features Project are collectively
referred to as the “Project”. The City will assume responsibility of the City’s Project as set
forth in section II.3. of this Agreement.
II. SCOPE OF WORK
Section II, Paragraphs 2.b. and 2.h. - 2.j., are revised, as follows:

The State will:
b. Prior to advertising the State’s Project, obtain written concurrence to continue with the
development of design. Once obtaining concurrence, invoice the City for the difference
between the City’s Project costs and the City’s ADA Features Project cost, estimated at
$227,395.00. After the City’s Project and City’s ADA Features Project costs are finalized,
invoice or reimburse the City for the difference between actual costs and the amount the
City has already paid.
h. As a part of the Project, reconstruct streets, gutter, median pavers, and sidewalks, and
curb ramps, with the exception of the locations included in the City’s ADA Features
Project, and replace signs as requested by City in the areas that the City will own,
operate, and maintain, as shown in Exhibits A, B, and C. Median pavers will be replaced
with a material to be determined by the City

i. Be responsible for Project costs other than the City’s Project for aesthetic painting and
additional mill and overlay work requested by City in existing City rights of way,
estimated at $660,500.00.
j. Coordinate with the City throughout the construction phase of the Project for the City’s
inspection, testing oversight and acceptance of Project improvements that the City will
own, operate and maintain, as shown in Exhibits A, B and C. Coordinate with the City so
the City’s ADA Features Project is completed prior to completion of the Project.
Section II, Paragraph 3.b. is revised, as follows:

Within 30 days of receipt of an invoice from the State, contribute $227,395.00, the
difference between the City’s Project and the City’s ADA Features Project, to the
construction of the City’s Project. After the Project has been completed, the State will
either invoice or reimburse the City for the difference between estimated and actual
costs of the City’s Project.
Section II, Paragraph 3.x. is added, as follows:

City’s ADA Features Project is completed prior to the State’s completion of the Project.
III. MISCELLANEOUS PROVISIONS
(NO CHANGES)
EXCEPT AS AMENDED, ALL OTHER terms and conditions of the Original Agreement remain in full
force and effect.

THIS AMENDMENT NO. ONE shall become effective upon the full completion of signing and dating
by all Parties to this Amendment No. One.
IN ACCORDANCE WITH A.R.S. § 11-952 (D), the written determination of each Party’s legal counsel
providing that the Parties are authorized under the laws of this State to enter into this Amendment
No. One and that the Amendment No. One is in proper form is set forth below.

the State of Arizona, acting by and through its Department of Transportation, and the City of
Chandler, an agreement among public agencies which, has been reviewed pursuant to A.R.S. §§

within the powers and authority granted to the City under the laws of the State of Arizona.
