EXHIBIT C
Extended Hours and 24 Hours Operation
1.
Increase in Hours: In conformity with Section 3 (b) of Attachment 1, the Center will, no 
later than 120 days after the Centers Opening Date, operate on an extended hours 
model up to and including 24-hours. Upon agreement of the parties to expand hours, the 
County shall issue a Notice to Proceed to KCE and the parties will transition to the up to 
24 hours budget , Attachment D for the operation of the Center during these hours. In 
addition Client and KCE will evaluate the number of teachers and enrollment prior to 
moving to a 24-Hour model to ensure that the Center maintains a smooth transition to a 
24-Hour Model.

Upon moving to a 24-Hour model, Section 5 (a) of Attachment 1 will be amended to the 
following:
Hours of Operation/Holidays:  
a.
Hours of Operation – 24 Hours. Monday through Sunday each week, subject to 
change, as mutually agreed by the parties. The parties may mutually agree to 
adjust the hours or days of operation provided that such adjustment is in 
compliance with all Applicable Laws.

The parties agree to act in good faith and to reasonably cooperate with each other with 
respect to the operations of a 24-Hour Center. In the event KCE discovers an unforeseen 
circumstance that requires an amendment to the Agreement, Client agrees that such 
consent or approval for the amendment will not be unreasonably withheld, conditioned or 
delayed.
4.
Reduction of Hours: After 180 days, the parties will review the 24-Hour model, including 
utilization, overhead, and staffing. The Parties may, after such review, agree to reduce the 
Operating hours of the Center to a mutually agreeable set of hours on a mutually agreed 
upon date. KCE will communicate this change in hours to current and prospective families.
