AMENDMENT No. 1 
to 
Site Sharing Agreement No. 4890 
between 
The City of Chandler 
and 
Salt River Project 
 
 
This Amendment Number 1 amends Site-Specific Supplemental Agreement No. 1 entered into as part of Site 
Sharing Agreement No. 4890, (“Agreement”), an Intergovernmental Agreement (“IGA”)  effective August 21, 
2015, between the City of Chandler (“Chandler”) and Salt River Project Agricultural Improvement and Power 
District (“SRP”). The parties are sometimes referred to jointly herein as “AGENCIES” and individually as 
“AGENCY.” 
 
WHEREAS, the AGENCIES entered into the IGA ; and 
 
WHEREAS, the AGENCIES subsequently executed Site Specific Supplement No. 1 to the IGA dated effective 
_____________ _______, 2015 (the “Original SSS”); and 
 
WHEREAS, pursuant to the Original SSS, CHANDLER granted permission to install, and SRP did install, certain 
equipment as more specifically set forth in Section 2c. therein (the “Existing Equipment”); and 
 
WHEREAS, the AGENCIES now desire to amend and restate in its entirety the Original SSS as set forth in 
ATTACHMENT A attached hereto to continue to permit the installation of the Existing Equipment as well as 
permit the installation by SRP of new equipment as more specifically set forth in Section 2c.3. therein; and  
 
NOW, THEREFORE, in consideration of the premises and the mutual agreements and covenants hereinafter set 
forth, and intending to be legally bound, the Parties hereby agree to amend and restate the Original SSS as set 
forth in Exhibit A attached hereto .  
 
Except as expressly set forth herein, all other provisions set forth in the IGA shall remain the same. 
 
IN WITNESS WHEREOF, the parties have caused this amendment to be executed by their duly authorized 
representatives.  This amendment is effective as of the date of last signature by the authorized 
representatives below.

ATTACHMENT A 
AMENDED AND RESTATED SSS 
 
1. Site: The Hamilton Telecommunications Facility (“Facility”), is located at 911 S. Hamilton, 
Chandler, AZ 85225 (Lat. 33-17- 34.9 N, Long. 111-49-55.6 W). CHANDLER, the property owner, 
grants SRP permission to use an existing 200 ft. tower at the Facility for the installation of the radio 
antennas and associated equipment identified in the paragraph(s) titled "Frequency Use” and 
“Tower” below, as well as for to occupy floor space in the existing communications equipment 
building at the Facility for associated equipment racks or cabinets identified in the paragraph(s) 
titled “Equipment Racks” below.  
 
a. Facility Ownership: CHANDLER, the owner of the tower and HAMILTON site equipment, 
grants SRP use of this Facility in accordance with the terms of the AGREEMENT and this 
SUPPLEMENT. 
 
b. Equipment  Ownership: SRP, as the communications equipment installer, shall be the 
owner of the communications equipment installed pursuant to this Supplement, including 
the Existing Equipment and the new equipment. 
 
2. Frequency Use: 
 
a. Frequency Licensing: As stipulated in the IGA, each AGENCY is responsible for the proper 
licensing of operating frequencies utilized at this site with the Federal Communications 
Commission (FCC). 
 
b. Frequency Protection: 
1) 
CHANDLER shall be responsible for resolving interference problems 
generated by new CHANDLER-owned equipment which affect existing frequencies 
employed by SRP and shall bear the cost of such resolution. CHANDLER will not be 
responsible for interference to SRP equipment from CHANDLER equipment that 
exists at the time any new SRP equipment is added. CHANDLER also agrees to 
work with SRP to resolve any potential interference problems between their 
respective systems. 
 
2)  
SRP shall be responsible for resolving interference problems generated by 
new SRP owned equipment which affect frequencies employed by CHANDLER, and 
shall bear the cost of such resolution. 
 
3) 
CHANDLER and SRP shall ensure they are operating telecommunications 
equipment at this site in compliance with current licenses issued by the FCC. In the 
event that interference issues arise with either AGENCY’S equipment and it is 
determined that the interfering AGENCY is in compliance with its FCC license, then 
both AGENCIES will cooperate and work together to equitably resolve the problem 
per established FCC guidelines. 
 
c. Permission to Install Equipment/Equipment Frequency Assignment. The Facility is an 
integral part of SRP’s Trunked Radio System.

1) 
Existing Equipment (900 MHz). SRP has installed on the existing 200 foot 
Tower 2 dBSpectra Antennas (1 Transmit at 165 ft. and 1 Receive at 205 
ft.) The three 900 MHz Channel assignments as follows:

In addition, SRP deployed a 2 ft. Andrew VHLP2-11W Microwave dish, in 
order to provide backhaul to its own network, at 65 ft. on the NE corner of 
the tower with one 10-11 GHz channel pair assignment as follows:

3) 
New Equipment (800 MHz): CHANDLER grants SRP permission to install 2 
dBSpectra antennas as more specifically detailed on EXHIBIT A attached 
hereto. The transmit will be a 14-foot Omni antenna mounted at 200 feet 
(Tip Height 162 ft) and the receive will be a 14-foot Omni antenna 
mounted at 250 feet (tip Height 214 ft). The antenna tip heights of the 800 
MHz will match the tip heights of the 900 MHz RF system. The three 800 
MHz channel assignments are as follows:

3. Tower Authorization: 
 
a. CHANDLER grants SRP permission to occupy space on the existing 200 foot tower. In 
accordance with this permission, SRP has placed the Existing Equipment on this tower (two 
(2) 900 MHz Omni antennas and one (1) two foot microwave dish on this tower and one 2 
ft. Andrew VHLP2-11W Microwave dish at 65 ft. on the NE corner of the tower.  SRP may 
additionally place two (2) new 800 MHz Omni antennas on this tower as indicated in 
Section 2c.3. All antenna and tower work shall be performed by authorized SRP 
contractors or personnel. All work performed in installing antennas shall comply with good 
engineering and installation practices and building codes.

b. Equipment Racks. Pursuant to the Original SSS, CHANDLER has granted SRP permission to 
occupy floor space in the existing communications equipment building at the Facility for 
two existing 19" equipment racks or cabinets (Rack 01 – Power and Microwave and Rack 
02 Trunk Radio Layout) and hereby furthermore grants to SRP permission to also occupy 
Rack 01 for the additional New 800 MHz equipment as more specifically detailed on 
EXHIBIT B attached hereto. 
 
4. Removal of Equipment: At any time upon providing thirty (30) days notice, SRP may elect to 
remove all or part of the Existing Equipment or other equipment placed on the tower or 
equipment racks from the Facility. Following any such removal, SRP will return the property to its 
original condition ordinary wear and tear excepted. Additionally, promptly following termination 
of the IGA or this Supplement by either AGENCY, SRP shall remove all its communications 
equipment at the Facility and restore the property to its pre-existing condition, ordinary wear and 
tear excepted. 
 
5. Maintenance: Communications equipment installed at the site shall be maintained by the owner 
of the equipment. Power, electromechanical, and HVAC equipment installed to service this 
communications equipment building shall be maintained by CHANDLER. CHANDLER shall provide 
24-hour-per-day access to the site by SRP personnel for preventive and corrective maintenance 
activities. Preventive and corrective maintenance performed by either AGENCY that may affect the 
other AGENCY'S equipment or network systems shall be coordinated between the AGENCIES prior 
to the start of work. Because this equipment supports safety operations, network service 
interruptions shall be kept to an absolute minimum. 
 
6. Term: Unless other terminated as permitted herein, the term of this SUPPLEMENT shall be 
coterminous with the underlying IGA. 
 
7. Termination: CHANDLER, as the owner of the Facility, may terminate this SUPPLEMENT or use of 
the Facility at any time by giving no less than 365 days' written notice to SRP. SRP, not owning the 
property on which the CHANDLER communications facility is located, may terminate this 
SUPPLEMENT at any time by giving no less than ninety (90) days' written notice to CHANDLER.
