License No. P50333 C-65-19-011-3-01 FIRST AMENDMENT TO REVOCABLE LICENSE AGREEMENT BETWEEN SUN LAKES UNITED METHODIST CHURCH AND MARICOPA COUNTY LIBRARY DISTRICT RECITALS A. Sun Lakes United Methodist Church, an Arizona non-profit corporation, (Licensor) and Maricopa County Library District, a political subdivision of the State of Arizona, (Licensee) are Parties to that certain Revocable License Agreement dated January 30, 2019 (Agreement). The Agreement is for Licensee’s Permitted Uses of property located at 9248 East Riggs Road, Sun Lakes, AZ. B. The term of the Agreement expires January 29, 2024. C. Licensor and Licensee now mutually desire to enter into this First Amendment to the Agreement (Amendment) to: (a) exercise renewal option; (b) update Licensee notice address; (c) modify counterparts; and (d) provide administrative language. AGREEMENT NOW THEREFORE, in consideration of the foregoing and other good and valuable consideration, receipt and sufficiency of which is hereby acknowledged, Licensor and Licensee agree to amend the Agreement as follows: 1. The Recitals, by this reference, are hereby incorporated in this Amendment. 2. Capitalized terms used in this Amendment without definition shall have the meanings assigned to such terms in the Agreement, unless the context expressly requires otherwise. 3. Pursuant to Section 2 of the Agreement, the parties agree to exercise the first of two renewal options to extend the term of the Agreement. The term of the Agreement shall be extended approximately 5 years and expire January 31, 2029. The Agreement may be extended for one (1) additional period of five (5) years by mutual written agreement of the parties. 4. Licensee’s notice and delivery address in Section XIII of the Agreement is deleted in its entirety and replaced with the following: Licensee: Maricopa County Library District Attn: Jeremy Reeder, Director/County Librarian 9330 East Riggs Road Sun Lakes, AZ 85248 With a copy to: Maricopa County Real Estate Dept. Attn: Real Estate Director 2801 W. Durango Street Phoenix, AZ 85009 5. Section XIV of the Agreement is deleted in its entirety and replaced with the following: XIV. COUNTERPARTS License No. P50333 C-65-19-011-3-01 This Agreement may be executed in two or more counterparts, each of which shall be deemed an original but all of which together shall constitute one and the same instrument. Electronic signatures shall have the same force and effect as original signatures. 6. The License is hereby amended to add the following section: XIV. DELEGATION OF AUTHORITY The Assistant County Manager for Maricopa County and/or the Real Estate Director shall administer this Agreement, including the execution of documents. 7. The Agreement is subject to cancellation pursuant to the provisions of A.R.S. § 38-511. 8. The foregoing paragraphs contain all the changes made by this Amendment. All other terms and conditions of the Agreement remain the same and in full force and effect.
