This JOB ORDER PROJECT AGREEMENT (”Job Order”) is made this _____ day of _____________ 2024,
(“Effective Date”), by and between the City of Chandler, an Arizona municipal corporation, (“City”)
and WaCo LLC dba WaCo Contracting, an Arizona limited liability company, (“JOC Contractor”)
and is entered into pursuant to Job Order Master Agreement No. JOC2418.401 (“JOC Master
Agreement”). City and JOC Contractor may be referred to individually as “Party” or collectively as
“Parties”).
City and JOC Contractor, in consideration of the mutual covenants herein set forth, agree as
follows:
RECITALS
A. On or about March 8, 2024, the Parties entered into the JOC Master Agreement, which terms
and conditions are made a part of and incorporated into this Job Order Project Agreement by this
reference.
B. City proposes to engage JOC Contractor for construction services as more fully described in
Exhibit "A", which is attached to and made a part of this Job Order by this reference.
C. JOC Contractor is ready, willing, and able to provide the services described in Exhibit “A” for
the compensation and fees set forth and as described in Exhibit ”B”, which is attached to and
made a part of this Agreement by this reference.
ARTICLE 1. DESCRIPTION OF WORK
The Parties enter into this Job Order Project Agreement for the Small Valve Replacement, Project
Number WA2403.401. The scope of work consists of replacement of 42 valves in the potable
distribution system, ranging in size from 6-inches to 16-inches in various locations, all as more
particularly set forth in Exhibit “A” attached hereto and incorporated herein by reference.

The JOC Contractor will not accept any change of scope, or change in Agreement provisions, unless
issued in writing, as a Agreement amendment or change order and signed by the authorized
signatories for each party.
Performance and Payment Bonds, as set forth in Exhibit “C” and Exhibit “D” respectively attached
hereto and incorporated herein by reference, will be due prior to execution of each Job Order
Project Agreement in the full amount of each Job Order.
At project completion, JOC Contractor must complete Contractor's Affidavit Regarding Settlement
of Claims and Certificate of Completion, as set forth in Exhibit “E” and Exhibit “F” respectively
attached hereto and incorporated herein by reference.
ARTICLE 2. PROJECT PRICE
City will pay JOC Contractor for completion of the Work in accordance with the JOC Master
Agreement a fee not to exceed the Guaranteed Maximum Price of $1,800,847.17 Dollars
determined and payable as set forth in JOC Master Agreement and Exhibit “B” attached hereto
and made a part hereof by reference.
ARTICLE 3. AGREEMENT TIME & SCHEDULE
JOC Contractor agrees to complete all Construction within 365 calendar days from the Notice to
Proceed (NTP) Date.

NOTES:
We propose to furnish labor, equipment, and materials - complete in accordance with the plans and specifications supplied to us for the
above mentioned project. All material is guaranteed to be as specified. All work will be completed in a workmanlike manner according to
standard practices. Any alterations or deviations from the above specifications involving extra costs will be executed only upon written
orders and will become an extra charge over and above the proposed estimate.
14-17) Items listed may be installed based off field conditions.
Assumptions/Inclusions/Exclusions
9) Concrete charge for extended concrete repairs requiring additional forming and handwork. Numerous locations will require the demo and replacement of a portion of an ADA ramp
and this line item is TYP to those repairs.
10) Includes full ADA ramp replacement.
11) Charge for standalone raise to grade - Bag Mix.
12) Valve #44 will need to be performed at TM basis due to unknown scope of work. Additional time and material allowance money proposed for change in field conditions.
13) Traffic control and off-duty police charged at invoice. Prices shown are estimates based off field conditions but subject to change.
1-4) Price as listed is for replacement of 6" - 16" valves. Includes excavation, shoring, plating, materials, and backfill. Asphalt/concrete restoration will be charged additional per bid
item, and traffic control/police officer will be charged at allowance. Coordination with customers for shutdown included, but extensive notification that requires outside PIO may
result in additional costs.
5) Price for excavation, installation of line stop, and backfill. Include one day rental on linestop equipment, additional days will incur additional charges. Linestops require specific
conditions and will need to be verified ahead of time and alternatives considered.
6) Includes asphalt replacement and concrete valve adjustment per City of Chandler, MAG, and project details. Assumes TYP restoration scenarios. Patches over 30 SY will incur
additioanl costs.
7) Concrete Collar per COC detail C-317, unpaved areas. Note: Numerous valves are just back of sidewalk and field conditions will determine whether sidewalk needs to be removed. If
sidewalk is replaced than collar will be done under minimum concrete charge, and this line item will not be charged. This charge will incur when concrete crew returns for C-317 collar
only.
8) Minimum concrete charge. Typical for sidewalk replacements, curb and gutter, etc. Over 150 SF may incur additional charges.
6) Crack seal is included in paved areas.
7) Pricing includes self-performed public outreach. Allowance is for 3rd party public outreach if necessary.
8) All shutdowns to be performed by COC. Shutdown can be up to 10 GPM leakyby. Beyond that would need to be verified.
9) Typical work hours Mon - Fri 7a-4pm. Off hours will be avoided and only performed if absolutely neccesary to minimize customer impact.
1) Survey /Asbuilts excluded.
2) Assumed waterline depths: 16" (6 feet), 12" (6 feet), 8" (4 feet), 6" (4 feet), 4" (4 feet). Depths beyond assumptions may result in additional costs.
3) Typical Landscape restoration is included at valves located in landscape. Major restoration (hardscape, large plants) may be charged at time and materials.
4) Survey / As-Builts are excluded.
5) One project sign is included in this proposal.

All American Traffic Services, LLC agrees to serve as a broker for off-duty P.O.S.T certified Police Officers
to perform Traffic Control Services.
•
A four-hour minimum will be billed on all jobs. Jobs that are cancelled less than 24 hours from the
start of the job will be charged a four hour show up fee as well.
•
Some agencies require more notice and are therefore subject to their cancellation policies.
•
Arizona Department of Public Safety (DPS) charges for travel time, to and from the job.
•
Payment for services are due 20 days from the invoice date.
•
Invoices will be given on a weekly basis. Overtime applies on all traffic control jobs, except for
DPS.
•
Time & one half applies after eight hours. Double time applies after twelve hours.
•
Holiday rate is Time & one half and applies to all Government Holidays.
•
All hours will be rounded to the next half hour.
•
Officers are independent contractors and will be held liable for all errors, omissions of his/her
duties. All American Traffic Services, LLC is not responsible for any or all losses or suits including
attorney fees arising from all situations performed by the subcontracted police officer. All
American Traffic Services, LLC is not responsible for any back charges, shut down, for lost wages,
equipment or any material expense incurred by Contractor.

All American Traffic Services, LLC is available 24 hours a day 7 days a week.
•
To enable us to provide the best services possible please try to schedule between normal Office
hours, Monday-Friday 7:00 AM to 5:00 PM.

Contractor must provide survey grade GPS / GIS data, meeting the following requirements for all
facilities to be owned and/or operated by the City of Chandler.
a) ESRI File Geodatabase format:
All GPS point data, along with corresponding GIS Attribute data, must be submitted in ESRI File
Geodatabase format. The City of Chandler will provide a copy of the File Geodatabase in ESRI
ArcGIS format. Please submit your request through the Project Manager.
b) Data dictionary and Attribute data:
Attribute data should be provided for each of the GPS’d Utility Feature listed in Section ‘d’ below.
All Attribute data should conform to the ESRI File Geodatabase format, provided by the City. A

e) Electronic Data Submittal:
Each submittal must consist of
1) ESRI – ArcGIS Geodatabase with cumulative data and attributes, and
2) Construction plans with collected utilities clearly redlined and changes marked
The frequency of data submittal will be every two weeks after water, sewer, reclaim or storm assets
