Contract No. C-22-22-173-X-02 Amendment No. 2 Area Agency on Aging, Region One Page 1 of 2 AMENDMENT NO. 2 TO THE AGREEMENT BETWEEN MARICOPA COUNTY ADMINISTERED BY ITS HUMAN SERVICES DEPARTMENT AND AREA AGENCY ON AGING, REGION ONE, INCORPORATED I. Maricopa County (“County”), administered by its Human Services Department, entered into a financial Agreement with Area Agency on Aging, Region One, Incorporated, (“Contractor”) which was fully executed on or about September 1, 2021. The Agreement Start date is September 1, 2021, and the Termination date is June 30, 2024. The Contractor and the County are collectively referred to as the “Parties” and individually as a “Party.” The purpose of the Agreement is to coordinate and expand services in Maricopa County for adults 60 years of age and older and adults with disabilities. The County provided $10,600,000 in American Rescue Plan Act (ARPA) funds under ALN 21.027 for Agreement activities. The Parties fully executed Amendment No. 1 on or about June 14, 2023. The Amendment addressed changes to Contractor Responsibilities and Scope of Work to incorporate Biohazard and Bulk Housekeeping for Senior and Adult Services Division clients. Amendment addressed expenditure limits for these services. The Amendment also added required contract language. II. The Parties now agree to amend the Agreement by this Amendment No. 2 as follows: A. Reduce Agreement funding by $3,177,901 from $10,600,000 to a new funding amount of $7,422,099. Funding shall be reduced in the following sections: 3.2 Analyst from $200,000 to $165,000 a reduction of $35,000 3.3 Applications, administration of grants from $8,800,000 to $5,657,099, a reduction of $3,142,901 B. Revise section 3.0 (Contractor Responsibilities), in the following subparagraphs and sub-subparagraphs to be removed in their entirety and replaced with the following: 3.2 The Contractor shall utilize no greater than $165,000 to hire an analyst to research and analyze factors affecting the recruitment and retention of Direct Care Workers in Maricopa County 3.3 The Contractor shall review applications, administer grants to qualified agencies, and distribute up to $5,657,099 on behalf of the County to partner agencies serving Maricopa County residents: 3.3.1 Distribute up to $1,968,499 in grants to Senior Centers located in Maricopa County. This will allow Senior Centers to reopen and provide services and/or address support gaps caused by or worsened by COVID-19. Contract No. C-22-22-173-X-02 Amendment No. 2 Area Agency on Aging, Region One Page 2 of 2 3.3.2 Distribute up to $988,600 to support the recruitment and retention efforts by Home Care Agencies for Direct Care Workers in Maricopa County. C. Revise section 10.0 (Funding, Invoicing and Payment) in the following subparagraph by removing in its entirety and replacing with the following: 10.6 The County shall pay the Contractor an amount not to exceed $165,000 for the research and data analysis activities as described in Section 3.2 on a cost reimbursement basis. D. As noted in Section 10.7 of the Agreement: Upon execution of this Agreement, the County shall transfer funds to the Contractor in the amount of $5,657,099 for the year one activities as stated in Section 3.0. Contractor funding is reduced as noted in section A, B, and C above. The Contractor shall issue a warrant to Maricopa County in the amount of $1,442,901 no later than July 28, 2023. III. Section II above contains all the changes made by this Amendment No. 2. All other terms and conditions of the Agreement shall remain the same and in full force and effect as approved and amended. IV. The Parties have authorized the undersigned to execute this Amendment No. 2 on their behalf, and it shall be effective upon approval and signature by both Parties.
