THIRD AMENDMENT TO DIETITIAN OBSERVER AGREEMENT

THIS THIRD AMENDMENT TO DIETITIAN OBSERVER AGREEMENT (“Third Amendment’) is
entered into effective August 1, 2023, or the last date signed below (“Third Amendment Effective Date”), by and
between Dignity Health, a California nonprofit public benefit corporation d/b/a St. Joseph’s Hospital & Medical
Center ("SJHMC”) and Mercy Gilbert Medical Center (‘MGMC”), and Dignity Community Care, a Colorado
nonprofit corporation d/b/a Chandler Regional Medical Center (“CRMC”) (SJHMC, MGMC and CRMC are each a
“Hospital” and collectively referred to as “Hospital’), and Maricopa County, By and For Its Department of Public
Health (“DPH”), amending that certain Dietitian Observer Agreement entered into by the Parties effective October
20, 2014, as amended (the “Agreement’).
THE PARTIES agree as follows:
1. The Parties amend in full Section 3.1 of the Agreement to read as follows:
“Term. This Agreement shall expire on July 31, 2028 (the “Expiration Date”).”
2. All other terms and conditions of the Agreement shall remain unchanged, and except as expressly
modified by this Third Amendment, the Agreement shall remain in full force and effect. This Third Amendment
may be executed by the Parties in any number of separate counterparts and all of said counterparts taken together
shall be deemed to constitute one and the same instrument. Capitalized terms not otherwise defined herein shall
have the meaning set forth in the Agreement.
3. IN WITNESS, WHEREOF, intending to be legally bound, each party has caused this Agreement to be
signed by its duly authorized officer as of the final date of signature written below:

HOSPITAL AND MEDICAL CENTER and DEPARTMENT OF PUBLIC HEALTH
MERCY GILBERT MEDICAL CENTER, and
DIGNITY COMMUNITY CARE d/b/a
CHANDLER REGIONAL MEDICAL
CENTER
