ASSIGNMENT AND ASSUMPTION OF GRANT OF EASEMENT
THIS ASSIGNMENT AND ASSUMPTION OF THE GRANT OF EASEMENT (this
"Assignment") is entered into as of this day of » 20 , by and
between Maricopa County, a political subdivision of the State of Arizona ("Assignor" or
“Grantee”’), and the Arizona Department of Transportation ("Assignee").
RECITALS:
A. Maricopa County, a political subdivision of the State of Arizona, (“Grantors”) and
Assignor previously executed and delivered that certain Grant of Right of Way by Resolution
No. FT. McD 44-65 for the construction, operation, and maintenance of a public road, Shea
Boulevard (the “Easement”), which was consented by the Fort McDowell Mohave-Apache
Community Council on August 4", 1964 and granted by the Bureau of Indian Affairs on
August Sth, 1964 a copy of which is attached hereto as Exhibit A, with respect to certain
premises more particularly described in aforementioned exhibit (the “Easement Premises’)
and located within the political boundaries of the Fort McDowell Yavapai Nation (the
“FMYN”).
B. Pursuant to the Grant of Easement, Assignor is authorized to assign and transfer
Assignor’s right, title, and interest, in the Easement.
C. Pursuant to this Assignment, Assignor wishes to assign all of its right, title and
interest in and to the Easement to Assignee and Assignee wishes to assume all of Assignor’s
right, title, and interest under the Easement.
AGREEMENTS:
NOW, THEREFORE, in consideration of the foregoing recitals, and for other
good and valuable considerations, the receipt, sufficiency and validity of which are
hereby acknowledged, Assignor and Assignee agree as follows:
1. Assignor hereby assigns, transfers and conveys to Assignee all of Assignor's right,
title and interest, in, to and under the Easement.

2. Assignee hereby accepts the foregoing assignment of the Easement and hereby
assumes, agrees to be bound by and perform all of the provisions and covenants of the
Easement to be performed on the part of Assignor as Grantee under the terms and conditions
of the Easement.
3. Assignee hereby agrees to indemnify, protect, defend, and hold harmless Assignor
for, from and against any and all liabilities, obligations, actions, suits, proceedings, demands
or claims and all costs and expenses (including, without limitation, reasonable attorneys’ fees)
incurred in connection with the Easement, based upon or arising out of any breach of the
Easement by Assignee occurring subsequent to the date of this Assignment.
4. This Assignment shall inure to the benefit of and shall be binding upon the parties
hereto and their respective successors and assigns.
5. The parties agree to execute and deliver any further documents and to perform any
further actions reasonably requested by any other party hereto in order to fulfill the intention
hereof.

WHEREAS, an application has been received from Maricopa County for
a right-of-way for highway purposes extending Shea Blvds
diagonally to join Bee Line Highway 87, and
WHEREAS, the area requested is shown on drawing No.. Proje. 32-309
containing 0,132 acres more or less and,
WHEREAS, after deliberation and discussion it was determined to
be in the best interests of the community to tender no
objection,
NOW, THEREFORE, BE IT RESOLVED, that the Ft. McDowell Mohave-Apache
Community Council consents to the granting of a right-of-
way to-Maricopa County for highway purposes without consid-
eration of damages for as long as used for such purposes
pursuant to minimum requirements contained in 25 CFR,
Part 161, and,
BE IT FURTHER RESOLVED, that the President and Secretary are
authorized to execute any documents necessary, and the
Superintendent is requested to approve the application,
CERTIFICATION
Pursuant to authority contained in Article IV, Section 2(d)
of the Constitution and By-laws of the Ft. McDowell Community ratified
by the Tribe October 3, 1936, and approved by the Secretary of the
Interior November 24, 1936, the foregoing Resolution was adopted on
August 4, 1964, at a Regular Meeting at which a quorum of 4 members
was present, by a vote of 4 for, 0 against.

LEGAL DESCRIPTION
For
Assignment of Shea Boulevard Easement
Fort McDowell Resolution No. FT. McD 44-65 (dated 9/30/1965)
A parcel of land lying in Lot 2 of Section Thirty Five, Township Three North, Range Six East of the
Gila and Salt River Base and Meridian, and being more particularly described as follows:
Commencing at the North Quarter corner of said Section 35, from which the Northwest corner of said
Section 35, a brass cap, bears North 89°57'00" West, for a distance of 2638.10 feet;
thence along the North line of said Section 35 South 89°57'00" East, for a distance of 194.04 feet to the
West boundary line of the Fort McDowell Indian Reservation;
thence departing said North line and along said West boundary line, being coincident with the East
boundary of the Salt River Pima - Maricopa Indian Community, South 06°35'00" West, for a distance
of 89.57 feet to the Northeasterly easement line of Shea Boulevard, and the Point of Beginning;
thence continuing along said West boundary line South 06°35'00" West, for a distance of 160.03 feet
to a point on the Northerly easement line of State Route 87 and the beginning of a non-tangent curve
concave to the southeast having a radius of 3919.72 feet, and to which point a radial line bears North
36°15'14" West;
thence departing said West boundary line and along said northerly easement line northeasterly along
the arc of said curve having a central angle of 01°24'54", for an arc distance of 96.81 feet to the
beginning of a non-tangent line being a point on the Northeasterly easement line of Shea Boulevard;
thence departing said Northerly easement line of State Route 87 and along said Northeasterly easement
line of Shea Boulevard North 30°28'06" West, for a distance of 119.15 feet to the Point of Beginning.
The above described parcel contains 5,725 square feet or 0.1314 Acres more or less.
