TERMINATION OF SOLAR POWER ELECTRICAL SYSTEM LICENSE ISSUED TO 
HV SUNRISE, LLC 
C-64-23-009-X-00 
 
WHEREAS, Maricopa County, a political subdivision of the State of Arizona (hereinafter “The 
County”) and HV Sunrise, LLC, a Delaware limited liability company (“Licensee”) are subject to 
that certain Solar Power Electrical System License, C-64-23-009-X-00 (the “License”); and 
 
WHEREAS, The County and Licensee hereby wish to terminate the License effective immediately 
upon the execution of the following agreements by The County following their approval by the 
Maricopa County Board of Supervisors: (i) the Solar Power Electrical System Agreement issued 
to HV Sun SFA Manager 1, LLC; (ii) the Solar Power Electrical System Agreement issued to 
Harquahala Sun 1, LLC; and (iii) the Solar Power Electrical System Agreement issued to 
Harquahala Sun 2, LLC (collectively, the “New Agreements”). 
 
NOW, THEREFORE, for the mutual consideration herein provided: 
 
1. The County and Licensee mutually agree that the License shall terminate effective 
immediately upon the execution of the New Agreements by The County.  From and 
after the termination of the License, neither party shall have any obligations under the 
License except for those obligations that expressly survive the termination of the 
License.
