AMENDMENT TO CITY OF CHANDLER AGREEMENT 
MASTER AGREEMENT FOR THE SALE OF GOODS, SERVICES, AND SOFTWARE 
BETWEEN CITY OF CHANDLER AND SCHNEIDER ELECTRIC SERVICES  
CITY OF CHANDLER AGREEMENT NO. 4521 
 
THIS AMENDMENT NO. 3 (Amendment No. 3) is made and entered into by and between the City of 
Chandler, an Arizona municipal corporation (City), and Schneider Electric Systems USA, Inc.  
(Contractor), (City and Contractor may individually be referred to as Party and collectively referred to 
as Parties) and made  
 
 
 , 2025 (Effective Date). 
 
RECITALS 
 
WHEREAS, the Parties entered into an agreement for SCADA electronic maintenance services at the 
Pecos Surface Water Treatment Plant and the City of Chandler Airport (Agreement); and 
 
WHEREAS, the term of the Agreement is July 1, 2023, through June 30, 2024, with the option of up to 
two one-year extensions; and 
 
WHEREAS, the Parties wish to add two additional options to extend the Agreement through this 
Amendment; and 
 
WHEREAS, the Parties wish to exercise the second option to extend the Agreement through this 
Amendment for the period of one year, July 1, 2025, through June 30, 2026. 
 
AGREEMENT 
 
NOW THEREFORE, the Parties agree as follows: 
 
1. 
The recitals are accurate and are incorporated and made a part of the Agreement by this 
reference.    
 
2.  
Section 6.1, Fees is amended to read as follows: Notwithstanding anything to the contrary in any 
schedule or exhibit, no Fees will be due or owed, with respect to any Services unless and until: 
(i) the parties agree to a Schedule covering such Services as listed in Revised Exhibit B, and (ii)

City receives an invoice for the relevant Fees. 
3.
Section 12.1, Agreement Term is amendment to read as follows: The Agreement is effective as
of July 1, 2023, and will continue for a period of one year or until the Agreement is terminated
as provided for herein. The city and the Contractor may mutually agree to extend the Agreement
for up to five additional terms of one year each, or portions thereof.
4.
All other terms and conditions of the Agreement remain unchanged and in full force and effect.
If a conflict or ambiguity arises between this Amendment No. 3 and the Agreement, the terms
and conditions in this Amendment No. 3 prevail and control.
