FD4-345-4690 THIS AMENDMENT NO. 4 is made and entered into by and between the City of Chandler, an Arizona municipal corporation (City), and Bound Tree Medical, LLC (Contractor), (City and Contractor may individually be referred to as Party and collectively referred to as Parties) and made , 2026_ (Effective Date). RECITALS WHEREAS, the Parties entered into an agreement for fire emergency medical supplies as more fully described in Exhibit A of the original agreement (Agreement); and WHEREAS, the term of the Agreement was April 01, 2024 through March 31, 2025, with the option of up to 4 one-year extensions; and WHEREAS, the Parties wish to amend Exhibit A to include additional requirements for delivered products; and WHEREAS, the Parties wish to exercise the second option through this Amendment to extend the Agreement for 1 year. AGREEMENT NOW THEREFORE, the Parties agree as follows: 1. The recitals are accurate and are incorporated and made a part of the Agreement by this reference. 2. Exhibit A, Scope of Work is revised to include the following requirement: e Except in the event of a documented national product shortage, Bound Tree shall ship products with a minimum of twelve (12) months of remaining shelf life at the time of delivery. If inventory with twelve (12) months of shelf life is not available, Bound Tree will flag the Customer's Page 1 of 8 Docusign Envelope ID: DBF889FC-B1E3-4B0D-B982-1ABB4E43C553 account and contact the Customer prior to shipment for approval of the available dating. If the Customer approves, Bound Tree will ship product with the best available remaining shelf life. If the Customer does not approve the shorter dating, the order will be held or canceled per the Customer's direction. Section Ill is amended to read as follows: The Agreement is extended for a one-year period April 1, 2026 through March 31, 2027. Section IV, Price is amended to read as follows: The City will pay the Contractor the per unit cost set forth in Revised Exhibit B of the original Agreement, attached to and made a part of this Amendment No. 4. Total payments made to the Contractor during the term of this Amendment No. 4 will not exceed $1,000,000. All other terms and conditions of the Agreement remain unchanged and in full force and effect. If a conflict or ambiguity arises between this Amendment No. 4 and the Agreement, the terms and conditions in this Amendment No. 4 prevail and control. Any additional licenses or equipment can be added upon mutual agreement between Bound Tree Medical and the City. Any spend below the $150,000 would result in a pro-rated rebate to the City.
