Page 1 of 5 AGREEMENT FOR EARLY TERMINATION OF LEASE Between ARIZONA DEPARTMENT OF ADMINISTRATION And MARICOPA COUNTY RECITALS A. Arizona Department of Administration (“Lessor”) and Maricopa County, a political subdivision of the State of Arizona, (“Lessee”) are parties to that certain Intergovernmental Lease No. L-7198, executed by Maricopa County on December 10, 2014, and amended December 1, 2019 (collectively, the "Lease"). The Lease is for occupancy and use of 1022 East Garfield Street, Phoenix, AZ, consisting of 16,692 rentable square feet of office and dormitory space. B. The Term of the Lease expires December 31, 2030. C. Lessor and Lessee now mutually desire to enter into this Agreement for Early Termination of Lease (“Agreement”) to terminate the Lease. AGREEMENT NOW THEREFORE, in consideration of the foregoing and other good and valuable consideration, receipt and sufficiency of which is hereby acknowledged, Lessor and Lessee agree as follows: 1. The Recitals, by this reference, are hereby incorporated into this Agreement. 2. Capitalized terms used in this Agreement without definition shall have the meanings assigned to such terms in the Lease unless the context expressly requires otherwise. 3. The Term of the Lease shall terminate on or before August 31, 2023 (“Termination Date”), unless terminated earlier as provided for in the Lease. As of the Termination Date, the Lease shall be null and void and of no further force and effect. This Agreement is subject to cancellation pursuant to A.R.S. §38-511, the provisions of which are incorporated herein by this reference. 4. The Lessee shall surrender possession of the leased premises to Lessor in substantially the same or better condition than as of the commencement date of the Lease, ordinary wear and tear excepted. 5. The Lessee shall replace one (1) 5-ton Gas Package unit on the first floor of the leased premises. (See Exhibit A) DocuSign Envelope ID: B525C8B4-8142-42D8-AD66-718738665FA6 Page 2 of 5 6. The Lessee shall ensure all external doors operate with keys after electronic controls are removed. Lessee will provide Lessor with any exiting keys to the exterior doors and any existing master keys to the interior doors. 7. The Lessee shall leave the walk-in cooler in as-is condition at the leased premises. Lessee makes no warranties or representations as to the condition or remaining life of the cooler. 8. The Assistant County Manager for Maricopa County and/or the Real Estate Director for Maricopa County shall administer this Agreement.
