COMMUNITY DEVELOPMENT BLOCK GRANT CFDA NO.14.218 AMENDMENT #3 TO CONTRACT CDBG 2021- 2022-02 and 2022-2023-02 BETWEEN THE CITY OF CHANDLER AND FSL HOME IMPROVEMENTS, INC. This Amendment #3 is made and entered into by and between the City of Chandler, (herein referred to as “CITY”) and FSL Home Improvements, Inc., dba AllThrive 365 (herein referred to as “CONTRACTOR”). Whereas, pursuant to the authority in Resolution No. 5459, the CITY and CONTRACTOR executed an agreement on December 27, 2021, authorizing Community Development Block Grant (“CDBG”) expenditures in the amount of $544,455 for Homeowner Rehabilitation for Fiscal Year 2021-2022 (“the Agreement”). The Agreement identified the scope of services to include the CONTRACTOR providing: (1) Emergency Repairs; (2) Home Modifications for Persons with Disabilities; and (3) Exterior Improvements, that support Chandler residents with low and moderate income. Whereas, the CITY and CONTRACTOR executed Amendment #1 on July 3, 2024, to amend the Agreement as follows: (1) Extend the Time of Performance from January 1, 2022 to June 30, 2025; (2) Amend the Payment to include $12,665 in Program Income with the total amount for the Agreement not to exceed $557,120; and (3) Revise the Administrative Requirements for the CONTRACTOR to comply with the requirements of the Build America, Buy America (“BABA”) Act, 41 USC 8301 note, and all applicable rules and notices, as may be amended, if applicable to the CONTRACTOR’S infrastructure project. Whereas, the CITY and CONTRACTOR executed Amendment #2 on April 8, 2025, to amend the Agreement as follows: (1) Extend the Time of Performance from January 1, 2022 to June 30, 2027; (2) Amend the Payment to include $7,200 in Program Income and an additional $370,661 in CDBG expenditures for Homeowner Rehabilitation for Fiscal Year 2022-2023 for a total amount for the Agreement to not exceed $934,981; (3) Amend Project Budget to include the Fiscal Year 2022-2023 CDBG funding; and (4) Amend to include the CONTRACTOR’S Negotiated Indirect Cost Rate Agreement with the Department of Energy and the CONTRACTOR’S notification to the CITY of its intent to begin applying the new indirect rate of 11.05% effective March 1, 2025. Now therefore, the CITY and CONTRACTOR agree, pursuant to the authority in Resolution No. 5995, to execute this Amendment #3 to amend the Agreement as follows: A. Section III. PAYMENT is amended to add $160,000 in recaptured CDBG funding for Homeowner Rehabilitation. The identified scope of services will remain the same. The total amount for the Agreement will not exceed $1,094,981. B. EXHIBIT B. FY 2021-2022 CDBG PROJECT BUDGET is amended to include the $160,000 in recaptured CDBG funding as shown in Exhibit B. C. EXHIBIT D. PROGRAM MANAGEMENT FEE is amended for the CITY to accept the CONTRACTOR’S current 11.05% Negotiated Indirect Cost Rate Agreement with the Department of Energy. The CONTRACTOR will notify the CITY of its intent to begin applying an adjusted rate, if applicable. D. All other terms and conditions remain the same.
