THIS AMENDMENT NO. 2 (“Amendment No. 2”) to the professional services agreement 
dated August 18, 2025, (the “Agreement”) is made by and between the City of Chandler, an 
Arizona municipal corporation, (“City”) and Entellus, Inc., an Arizona corporation, 
(“Consultant”), on this ______ day of ___________________, 2026, (“Effective Date” by Clerk).  (City 
and Consultant may individually be referred to as “Party” and collectively referred to as 
“Parties”). 
RECITALS 
A.
The Parties entered into the Agreement for construction management services
(“Services”) for the Quarter Section 10-55 Sewer Rehabilitation project.
B.
The Parties have determined that it is necessary and desirable for the Consultant to
perform services for the City under the terms and conditions set forth in this Amendment
No. 2 and the Agreement.
AGREEMENT 
NOW, THEREFORE, in consideration of the premises and mutual promises contained in the 
Agreement and this Amendment No. 2, the Parties agree to amend and modify the 
Agreement as follows. 
SECTION I – CONSULTANT’S SERVICES 
The Consultant’s Services are modified as described in the Exhibit "A" attached to and 
made part of this amendment by reference.  
SECTION II – PERIOD OF SERVICE 
The Period of Service remains the same as described in the Agreement.

SECTION III – PAYMENT OF COMPENSATION AND FEES 
The consultant fees are increased by $35,996.20 and will be payable in accordance with 
Exhibit "B" attached to and made part of this amendment by reference, for a revised 
total not to exceed $232,718.53. 
SECTION IV – CONFLICT AMONG DOCUMENTS 
The Agreement, this Amendment No. 2, and any previous amendments constitute the 
complete agreement between the Parties concerning the subject matter of the Agreement 
and replace any prior oral or written communications between the Parties.  If a conflict or 
ambiguity arises between the Agreement and this Amendment 2, the instrument in the 
following order prevails and controls: (1) this Amendment 2; (2) any previous amendments 
from most recent to oldest; and (3) the Agreement.

to provide the total cost accrued during the emergency repair for the 18-inch sewer main at the 
intersection of Chandler Boulevard and Delaware Street. 
 
Entellus has compiled the time and materials cost (totaling $35,996.20) which encompassed 
round the clock inspections, project management, coordination, construction engineering, 
documentation, surveying and meetings. All costs are solely based on the 18-inch emergency 
repair scope of work and are outside of the original agreed upon scope for the QS 10-55 Sewer 
Rehabilitation Project. 
 
The table below provides the cost breakdown including the role, the number of hours, rates 
(based on rates provided in Change Order #1 (approved April 21st, 2026)), and the cost accrued

From time to time, City of Chandler (we, us or Company) may be required by law to provide to 
you certain written notices or disclosures. Described below are the terms and conditions for 
providing to you such notices and disclosures electronically through the DocuSign system. 
Please read the information below carefully and thoroughly, and if you can access this 
information electronically to your satisfaction and agree to this Electronic Record and Signature

Getting paper copies  
At any time, you may request from us a paper copy of any record provided or made available
