AMENDMENT TO CITY OF CHANDLER AGREEMENT
DIGITAL ADOPTION PLATFORM
CITY OF CHANDLER AGREEMENT NO. 4506
THIS AMENDMENT NO. 6 (Amendment No. 6) is made and entered into by and between the City of
Chandler, an Arizona municipal corporation (City), and WalkMe, Inc., (Contractor), (City and Contractor
may individually be referred to as Party and collectively referred to as Parties) and made effective as of
, 2026 (Effective Date).
RECITALS
WHEREAS, the Parties entered into a Software as a Service Agreement dated June 24, 2022, for a
subscription for a digital adoption platform (the “Agreement”); and
WHEREAS, the term of the Agreement was June 30, 2022, through June 29, 2023, with the option of up
to four one-year extensions; and
WHEREAS, the Parties added funds to the then current term of the Agreement through Amendment No
1 dated September 26, 2022; and
WHEREAS, the Parties extended the term of the Agreement for the period June 30, 2023, through June
29, 2024, through Amendment No. 2 dated April 14, 2023; and
WHEREAS, the Parties added funds to the then current term of the Agreement through Amendment
No. 3 dated September 26, 2023; and
WHEREAS, the Parties extended the term of the Agreement to June 30, 2024, through June 29, 2025,
through Amendment No. 4 dated June 18, 2024; and
WHEREAS, the Parties extended the term of the Agreement to June 30, 2025, through June 29, 2026,
through Amendment No. 5 dated July 21, 2025; and
WHEREAS, the Parties desire to extend the term of the Agreement for an additional year.

AGREEMENT
NOW THEREFORE, the Parties agree as follows:
1.
The recitals are accurate and are incorporated and made a part of the Agreement by this
reference.
2.
Per Section 10.1 of the Agreement, the Parties agree to extend the Agreement for an additional
one-year period of June 30, 2026, through June 29, 2027.
3.
The City will pay the Contractor the Total Price for the term with Start Date and End Date of July
1, 2026, to June 30, 2027, as set forth in Exhibit B of the Agreement, which is incorporated into
and made a part of this Amendment No. 6 by this reference. Total payments made to the
Contractor during the term of this Amendment No. 6 will not exceed $171,735.
4.
All other terms and conditions of the Agreement remain unchanged and in full force and effect.
If a conflict or ambiguity arises between this Amendment No. 6 and the Agreement, the terms
and conditions in this Amendment No. 6 prevail and control.
IN WITNESS WHEREOF, the Parties have entered into this Amendment on the Effective Date.
