INTERDEPARTMENTAL AGREEMENT 
 
AMONG THE 
 
MARICOPA COUNTY DEPARTMENT OF TRANSPORTATION 
 
AND 
 
MARICOPA COUNTY FACILITIES MANAGEMENT DEPARTMENT 
 
AND 
 
MARICOPA COUNTY SHERIFF’S OFFICE 
 
This Interdepartmental Agreement (IDA) is entered into by and among the Maricopa 
County Department of Transportation (MCDOT) and Maricopa County Facilities 
Management Department (MCFMD) and the Maricopa County Sheriff’s Office (MCSO), 
collectively referred to as the Parties and individually as a Party. 
 
RECITALS 
 
WHEREAS, MCDOT has received funding for its facilities and operations through the 
Arizona Highway User Revenue Fund (HURF), which is subject to Article 9, Section 14 
of the Arizona Constitution, which limits the use of HURF monies to highway and street- 
related purposes; and 
 
WHEREAS, Maricopa County is renovating the MCSO Substation at Dysart Road and 
Bell Road; and 
 
WHEREAS, MCSO needs temporary office space to maintain its mandated 
responsibilities; and 
 
WHEREAS, it is in the best interests of the Parties to collaborate on space allocation 
within MCDOT facilities. 
 
NOW, THEREFORE, in consideration of the foregoing recitals, the Parties agree as 
follows: 
 
TERMS 
 
1. 
The term of this IDA shall be from July 1, 2023 through December 30, 2025, unless 
terminated earlier as provided hereunder. Prorated monthly fee payments set forth 
below shall commence upon MCSO taking possession of the Office Space and 
Yard Space.

2. 
Either Party may terminate this IDA at any time, with or without cause, by providing 
the other Party with 30 days prior written notice. MCSO agrees to vacate the 
building within 30 days of delivery of such notice.  
 
3. 
MCDOT occupies the premises located at 12975 West Bell Road, Surprise, AZ 
85374 (Property). 
 
 
 
4. 
MCDOT agrees to: 
 
4.1 
Allocate approximately five hundred and twenty-five (525) square feet of 
office space to MCSO, located within the building used by MCDOT located 
at 12975 West Bell Road, Surprise, AZ 85374 (Office Space), as shown in 
Exhibit A attached hereto and made a part of this IDA. 
 
4.1.1 For use of the Office Space, charge the District III substation remodel 
project and MCFMD, not the MCSO, twenty-one dollars ($21.00) per 
square foot annually for the 525 square feet of office space, for an 
estimated total annual fee of $11,025.00, or a prorated, monthly 
amount of $918.75.  
 
4.1.2 Include the cost of utilities and building security as part of the 
prorated monthly fee.  
 
4.1.3 Provide regular building access to the Office Space during normal 
hours of operation, Monday through Thursday from 5:30AM to 
4:00PM. 
 
4.1.4 MCSO must reserve conference/breakroom room if needed for 
meetings per MCDOT normal business process. 
 
4.1.5 Provide access to the north side common area restrooms.  
 
4.1.6 Invoice MC FMD, not the MCSO, the total prorated Office Space 
monthly billings the first of each month commencing upon MCSO 
taking possession of the Office Space, via a Journal Voucher entry 
initiated by MCDOT’s Financial Services Division.  
 
4.2 
Allocate approximately thirty-six thousand and eighty-eight (36,088) square 
feet of yard space to MCSO, located within the building used by MCDOT 
located at 12975 West Bell Road, Surprise, AZ 85374 (Yard Space), as 
shown in Exhibit B attached hereto and made a part of this IDA. 
 
4.2.1 For use of the Yard Space, charge the District III substation remodel 
project and MCFMD, not the MCSO, fifty-five cents ($0.55) per

square foot annually for the 36,088 square feet of yard space, for an 
estimated total annual fee of $19,848.40, or a prorated, monthly 
amount of $1,654.03.  
 
4.2.2 Include the cost of utilities as part of the prorated monthly fee.  
 
 
 
4.2.3 Provide access to the Yard Space 24 hours a day and seven days a week. 
 
4.2.4 Invoice MCFMD, not the MCSO, the total prorated Yard Space 
monthly billings the first of each month commencing upon MCSO 
taking possession of the Yard Space, via a Journal Voucher entry 
initiated by MCDOT’s Financial Services Division.  
 
5. 
MCFMD agrees to: 
 
5.1 
Pay the total prorated Office Space and Yard Space monthly billings, via a Journal 
Voucher entry initiated by MCDOT’s Financial Services Division, within ten (10) 
days of receipt. 
 
5.2 
Pay within ten (10) days of receipt of MCDOT invoice for the costs for 
repair/replacement resulting from any damage caused to the Office Space and 
Yard Space, or any surrounding MCDOT property, by the MCSO employees, 
contractors and/or its visitors. 
 
 
6. 
MCSO agrees to: 
 
6.1 
Occupy only the Office Space and Yard Space as described above and as  
set forth in Exhibits A and B. 
 
6.2 
Not bring suspects/detainees into the MCDOT building or Office Space. 
MCSO is permitted to transport suspects/detainees via MCSO vehicles on 
the Property, but they must remain in the vehicle until they are within the 
Yard Space.  
 
6.3 
Limit the location of any suspects/detainees to MCSO temporary trailers.  
 
6.4 
Not locate, or cause to be located, any hazardous materials within the Office 
Space and Yard Space.   
 
6.5  
Not permit another Maricopa County Department’s use of the Office Space 
and Yard Space, without prior written consent of the MCDOT Administrative 
Services Division Manager. 
 
6.6  
Follow MCDOT procedures in reporting any facilities-related request, 
problems and/or complaints regarding the Office Space and Yard Space,

building components, building security, parking, and/or service. Any request 
shall be forwarded to the MCDOT Administrative Services Division Manager 
by contacting the MCDOT Customer Service front desk at 602-506-5681. 
 
6.7 
Comply with all federal, state, and local safety and emergency regulations 
and procedures and the MCDOT Building Use Policy (T1005) when MCSO 
employees are utilizing the Office Space and Yard Space. 
 
6.8  
Utilize the Yard Space for parking all vehicles.  
 
6.9  
Be responsible for MCSO employees and contractors while on MCDOT 
property. 
 
6.10 Upon vacating the Property, MCSO will leave the Property in the same 
condition as when it took original possession of the Property. 
 
6.11 Assume full responsibility for any MCSO owned property or MCSO 
Security systems placed on the Property. 
 
 
GENERAL TERMS AND CONDITIONS 
 
7. 
The rights described within this IDA may not be assigned to any other party not 
included in this IDA. 
 
8. 
This IDA contains the entire understanding of the Parties with respect to the 
subject matter hereof. There are no representations or provisions other than those 
contained herein. This IDA shall not be amended or modified, in any manner, 
except by an instrument in writing, signed by the Parties.  
 
9. 
The Parties agree, that should any part of this IDA be held to be invalid or void, the 
remainder of the IDA shall remain in full force and effect.  
 
10. 
The Parties warrant that they are in compliance with A.R.S. Section 41-4401 and 
further acknowledge that: 
 
10.1 Any contractor or subcontractor who is contracted by a Party to perform 
work under this IDA shall warrant their compliance with all federal 
immigration laws and regulations that relate to their employees and their 
compliance with A.R.S. Section 23-214(A), and shall keep a record of the 
verification for the duration of the employee’s employment or at least three 
(3) years, whichever is longer. 
 
10.2. Any breach of the warranty shall be deemed a material breach of the 
contract, (or subcontract) that is subject to penalties up to and including 
termination of the contract or subcontract.

10.3 The Parties retain the legal right to inspect the papers of any contractor or 
subcontractor employee who works under this IDA to ensure that the 
contractor or subcontractor is complying with the warranty above and that 
the contractor agrees to make all papers and employment records of said 
employee available during normal working hours in order to facilitate such 
an inspection. 
 
10.4 Nothing in this IDA shall make any contractor or subcontractor an agent or 
employee of the Parties to this IDA. 
 
11. 
This IDA is subject to termination by either party pursuant to the provisions of 
A.R.S. § 38-511. 
 
12. 
The parties to this Agreement have chosen attorneys employed by the Civil 
Services Division of the Maricopa Attorney’s Office (“Civil Services Division”) to act 
as their attorney for the purpose of reviewing this Agreement. In doing so, by their 
signature below, each party acknowledges that it is aware that the Civil Services 
Division will represent both parties to this Agreement, and each party expressly 
waives any conflict created thereby. 
 
13. 
All notices under this IDA shall be mailed (to include inter-office), emailed or 
delivered to the Party to receive such notice, and shall be in writing and addressed
