Contract No. C-22-22-105-X-03 Amendment No. 3 Robin Schaeffer Consulting, LLC Page 1 of 3 AMENDMENT NO. 3 TO THE AGREEMENT BETWEEN MARICOPA COUNTY AND ROBIN SCHAEFFER CONSULTING, LLC I. Maricopa County (“County”) and Robin Schaeffer Consulting, LLC (“Contractor”) fully executed a financial Agreement (“Agreement”) on or about December 14, 2021. The Agreement term began November 15, 2021, through December 31, 2022. The purpose of the Agreement is to create and implement a Nurse Workforce Practice Readiness Program (“Program”) for senior nursing students. The Contractor and the County are collectively referred to as the “Parties” and individually as the “Party.” The Parties fully executed Amendment No. 1 on or about June 8, 2022. The purpose of the Amendment is to increase the number of enrolled nursing students into the Program to 55, and to replace Exhibit B which clarified the Agreement funding amounts for the Contractor and anticipated amounts for Program activities. The Parties fully executed Amendment No. 2 on or about December 7, 2022. The purpose of the Amendment is to identify the number of student nurses that will be enrolled in the Nurse Workforce Practice Readiness Program through 2026. The Amendment added required contract language, addresses Contractor requirements and reporting. The term of the Agreement is extended through December 31, 2026. The County increased the Agreement funding to a not-to-exceed amount of $1,375,151 for the extension period. II. The Parties now agree to amend the Agreement by this Amendment No. 3 as follows: A. Remove the Preceptor stipends amount from the Agreement funding. The Agreement amount is reduced by $247,500 from $1,375,151 to a new total amount of $1,127,651. B. Revise Section 10.0 (Funding, Invoicing, and Payment), subparagraphs 10.4 by removing in its entirety and replacing with the following: 10.4 The County shall pay the Contractor on a cost reimbursement basis a not- to-exceed amount of $1,127,651 for the extension term identified in Exhibit C, incorporated into the Agreement. The funding for this Amendment is provided under the American Rescue Plan Act, provide by the U.S. Department of Treasury under Assistance Listing Number 21.027. Annual funding amounts shall not exceed the totals listed below: 10.4.1 2023 $392,850 10.4.2 2024 $287,475 10.4.3 2025 $292,163 10.4.4 2026 $155,163 C. Attach revised Exhibit C to the Agreement. Attachment C identifies all the anticipated Contractor expenditures. III. Section II above contains all the changes made by this Amendment No. 3. All other terms and conditions of the original Agreement and previously approved amendments shall remain unchanged and in full force and effect as executed by the Parties. The undersigned is authorized to execute this Amendment No. 3, and it shall be effective upon approval and signature by both Parties.
