53. AMENDMENT TO LICENSE AGREEMENT FOR USE OF REAL PROPERTY WITH ARIZONA DEPARTMENT OF ECONOMIC SECURITY Approve Amendment No. 4 to the financial License Agreement P-50327, (“Agreement”) for Use of Real Property, with Arizona Department of Economic Security (“Licensee”) for use of County controlled properties, East Valley One Stop Career Center located at 735 North Gilbert Road, Suite 134, Gilbert, Arizona 85234 (“Facility 2”) and West Valley One Stop Career Center located at 4425 West Olive Avenue, Suites 190 and 200, Glendale, Arizona 85302 (“Facility 3”). “Facility 2” and “Facility 3” shall be collectively referred to as the “Facilities”. The purpose of the Agreement is for Licensee to share costs associated with the operation of the Facilities. The Parties hereby agree to amend the Agreement as follows: 1. Removes and replaces Section 12 Facility Work Space and Common Area. 2. Removes and replaces Exhibit 3 Rent and shared Facility Operations Costs. 3. Removes and replaces Exhibit 4 DES Space Allocation (Per Program / Per Facility) The foregoing paragraphs contain all the changes made by this Amendment. All other terms and conditions of the Agreement not changed herein remain the same and in full force and effect. All funds collected under this Agreement will be applied against the costs associated with the operation of the Facilities and are not considered revenue. The overall Human Services Department budget will be adjusted as necessary to accommodate the Amendment funding through a future reconciliation. This Amendment does not impact County funds. AMENDMENT TO LICENSE AGREEMENT FOR USE OF REAL PROPERTY WITH ARIZONA DEPARTMENT OF ECONOMIC SECURITY Approve and execute Amendment No. 8 to License Agreement for Use of Real Property between Maricopa County (Licensor) and Arizona Department of Economic Security (Licensee) for the use of County controlled facilities located at 4425 W Olive Ave, Glendale, AZ, and 1001 W Southern Ave, Mesa, AZ. Licensee shall provide County with base rent and shared operation costs associated with the operations of the facilities which are not considered revenue. The purpose of this Amendment No. 8 is as follows: A. Increase Licensee’s use of space in Facility 4 to total space of 1,308 SF. With the space increase the Licensee costs will also increase. Commencing March 1, 2023 through June 30, 2023 Licensee shall pay a monthly amount of $4,703 for base rent and $949 for shared operations costs. B. This Amendment extends the term of the Agreement as of July 1, 2023 through June 30, 2024. Licensee shall pay a monthly amount of $4,762 for base rent and $996 for shared operations costs for the extension term. All funds collected under this Agreement will be applied against the costs associated with the operation of the Facilities and are not considered revenue. C. 54. AMENDMENT TO LICENSE AGREEMENT FOR USE OF REAL PROPERTY WITH ARIZONA DEPARTMENT OF ECONOMIC SECURITY Approve and execute Amendment No. 9 to License Agreement for Use of Real Property between Maricopa County (Licensor) and Arizona Department of Economic Security (Licensee) for the use of County controlled facilities located at 4425 W Olive Ave, Glendale, AZ, and 1001 W Southern Ave, Mesa, AZ. Licensee shall provide County with base rent and shared operation costs associated with the operations of the facilities which are not considered revenue. The purpose of this Amendment No. 9 is as follows: A. Extend the term of this Agreement through June 30, 2025. This Agreement may be cancelled pursuant of A.R.S. § 38-511. B. Replace Exhibits in the Agreement. C. Revise Section 12.0 (FACILITY WORKSPACE AND COMMON AREA) D. Revise Section 13.0 (SHARED FACILITIES OPERATION COSTS) E. Increase Licensee’s use of space in Facility 3 to total space of 1,973 SF. With the space increase the Licensee costs will also increase. Commencing May 1, 2024, through June 30, 2024, Licensee shall pay $6,247.83 for base rent and $57 for shared operations costs. From July 1, 2024, through June 30, 2025 Licensee shall pay an amount of $38,473.50 for base rent and $343 for shared operations costs. F. Increase Licensee’s use of space in Facility 4 to total space of 1,723 SF. With the space increase the Licensee costs will also increase. Commencing May 1, 2024, through June 30, 2024, Licensee shall pay $6,676.63 for base rent and $33 for shared operations costs. Extend the term of this Agreement through June 30, 2026. B. Replace Exhibits showing space usage, square footage allocations and rent costs C. Modify Payment Requirements D. Modify Notices information E. DES shall pay the following amounts for both sites: 1. FY2025 $74,792.50 Base Rent and $237.00 for Shared Operations Costs 2. FY2026 $90,999.50 Base Rent and $268.00 for Shared Operations Costs Funds received under this Agreement are not considered revenue as the Federal Workforce Innovation and Opportunity Act (WIOA). WIOA, Section 121(c) and (h) requires the development of Agreements with partners located in the One-Stop Career Centers. Agencies co-located in the One-Stop Career Centers must pay for their proportionate share of costs for the operation of the Career Centers. Grant revenues are not local revenues for the purpose of the constitutional expenditure limitation, and therefore expenditure of the revenues is not prohibited by the budget law. The approval of the funding does not alter the budget constraining expenditures of local revenues duly adopted by the Board pursuant A.R.S. §42-17105. The overall grant budget will be adjusted as necessary to accommodate this grant through future budget reconciliation. This Agreement does not contain County General funds. 37. AMENDMENT TO LICENSE AGREEMENT FOR USE OF REAL PROPERTY WITH ARIZONA DEPARTMENT OF ECONOMIC SECURITY Approve and execute Amendment No. 11 to License Agreement for Use of Real Property between Maricopa County (Licensor) and Arizona Department of Economic Security (Licensee) for the use of County controlled facilities located at West Valley One Stop Career Center at 4425 W Olive Ave, Glendale, AZ also identified as “Facility 3” and East Valley One Stop Career Center located at 1001 W Southern Ave, Mesa, AZ also identified as “Facility 4”. Licensee shall provide County with base rent and shared operation costs associated with the operations of the facilities. The License Agreement Expiration date is June 30,2026. The purpose of this Amendment No. 11 is to address the following: A. Revise Section 4.0 (TERM), by deleting it in its entirety and replacing it with updated language regarding renewal by adding 4.1 option to enter into a new agreement. B. Revise Section 12.0 (FACILITY WORKSPACE AND COMMON AREA), by replacing it with updated Facility Workspace and Common area as reduced Square Footage (SF) for Licensee Facility 3 and Facility 4: C. Revise Section 13.0 (SHARED FACILITIES OPERATION COSTS) by deleting subsections 13.3 and 13.4 in their entirety and replacing with language outlining DES reduced shared Operating Costs as follows: 13.3 Facility 3: Commencing January 1, 2025, through June 30, 2025, Licensee shall pay a monthly amount of $3,204.50 for base rent and $147.00 annually for shared operations costs. From July 1, 2025, through June 30, 2026, Licensee shall pay an amount of $3,286.67 for base rent and $147.00 annually for shared operation costs. 13.4 Facility 4: Commencing January 1, 2025, through June 30, 2025, Licensee shall pay $3,421.63 for base rent and $82.00 annually for shared operations costs. From July 1, 2025, through June 30, 2026, Licensee shall pay an amount of $3,421.63 for base rent and $82.00 annually for shared operations costs. D. Update Point of Contact for Licensee. E. Replace Exhibits “1A” & “1B” in the Agreement with revised Floor plans F. Replace Exhibit “3” (FACILITY SPACE AND RENT COSTS), by deleting in its entirety and replacing with updated Costs Exhibit as reduced. G. Replace Exhibit “4” (DES SPACE ALLOCATION), by deleting in its entirety and replacing with updated Space Allocation Exhibit as reduced. Funds received under this Agreement are not considered revenue as the Federal Workforce Innovation and Opportunity Act (WIOA).
