86. AMENDMENT TO THE CONTRACT WITH SOLARI, INC Approve financial Amendment No. 2 to a Competition Impracticable Contract (220102) with Solari , Inc. (Contractor) and Maricopa County, administered by its Human Services Department. The purpose of the Agreement is for the Contractor to provide navigation services to individuals seeking assistance that have been impacted by the COVID-19 pandemic. The purpose of the Amendment is to address the following Sections: A. Revise 2.0 Purpose of the Agreement to expand 211 services to include transportation services, housing crisis hotline, and assistance to those facing eviction. B. Revise 3.0 Contractor Responsibilities to address the following activities: 3.1.1 Emergency Rental Assistance Program Support 3.1.2 Transportation Navigation and Direct Assistance 3.1.3 Housing Crisis Hotline C. Revise 4.0 County Responsibilities to address the development and implementation of activities. D. Revise 5.0 Term of the Agreement to extend through December 31, 2022. E. Revise 10.0 Funding, Invoicing and Payment to include the following and the invoicing process: 10.1 The County shall provide funding under Catalogue of Federal Domestic Assistance (CDFA) 21.027 American Rescue Plan Act State and Local Fiscal Recovery Funds provided to the County through the U.S. Department of Treasury. 10.2 The Agreement total funding amount is $2,987,030, which is separated by activity as follows: 10.2.1 $ 1,285,970 for Emergency Rental Assistance Navigation Support; 10.2.2 $ 1,267,566 for the Housing Crisis Hotline; and 10.2.3 $ 383,494 for the Transportation Navigation and Assistance Services. F. Amendment No. 2 increases the funding by $2,937,030 to a total amount of $2,987,030. The Amendment shall be effective upon approval and signature by the Parties. FY2022: $2,937,030 Expenditures. 57. AMENDMENT TO THE CONTRACT WITH SOLARI, INC Approve financial Amendment No. 3 to a Competition Impracticable Contract (220102) with Solari, Inc. and Maricopa County, administered by its Human Services Department. The purpose of the Agreement is for the Solari to provide navigation services to individuals seeking assistance that have been impacted by the COVID-19 pandemic. The purpose of the Amendment is to address the following Sections: A. Revise Solari, Inc’s title of responsibility from Contractor to Subrecipient. B. Revise Section 3.0 Contractor Responsibilities to address the following activities: 3.6 Incorporate U.S. Department of Housing and Urban Development (HUD) Emergency Solutions Grant - Emergency Solutions Grant Cares Act (ESG-CV) activities into the Agreement: 3.6.1 Develop a live utilization Dashboard to track and summarize performance activities 3.6.2 Develop standard report(s) focused on key monitoring requirements 3.6.3 Complete ESG CAPER reporting requirements for all recipients 3.6.4 Submit to the County program reports C. Revise Section 5.0 Term of the Agreement to address terms of activities: 5.1 ARPA funded activities shall be effective on the date listed on page one of this Agreement, and will expire on December 31, 2022. 5.2 ESG-CV funded activities shall be effective July 1, 2022 through June 30, 2023. D. Revise Section 10.0 (FUNDING, INVOICING, AND PAYMENT) in the following subparagraphs: 10.2 The funding amount provided under Catalogue of Federal Domestic Assistance (CDFA) 21.027 American Rescue Plan Act State and Local Fiscal Recovery Funds provided to the County through the U.S. Department of Treasury for the following activities shall be increased by $1,651,060: 10.2.2 $1,267,566 for the Housing Crisis Hotline for a total amount of $2,535,132. 10.2.3 $383,494 for Transportation Navigation and Assistance Services for a total of $766,988. 10.9 The County shall provide Subrecipient a not-to exceed amount of $75,000 under federal Assistance Listing Numbers (ALN) 14.231 Emergency Solutions Grant (ESG-CV) 10.10 The Subrecipient shall submit monthly invoices for costs incurred for activities identified in Section 3.0 (Contractor Responsibilities), Subparagraph 3.6. ESG-CV invoices must be separate from other Agreement program activities 10.11 Subrecipient’s monthly invoices are due on the 15th day following the end of the month being reported (i.e. February 15th for January report) and must include sufficient back-up documentation to support invoices. 10.12 Final invoice for ESG-CV funds must be submitted by July 10th 10.13 Disallowed costs as detailed in the Uniform Administrative Requirements as listed in Section 35 shall not be submitted for reimbursement by the Subrecipient and may not be reimbursed by the County E. Add the following Sections to the Agreement: 40.0 (FINANCIAL MANAGEMENT) to address accounting process. 41.0 (AGREEMENT COMPLIANCE MONITORING/AUDITING) to address compliance. 42.0 (AUDIT DISALLOWANCES) to address disallowed costs. 43.0 (DEFAULT AND REMEDIES FOR NONCOMPLIANCE) to address non-performance of the Agreement. 44.0 (CONFIDENTIAL INFORMATION) to address procedures and protection of information. 45.0 (NON-LIABILITY) to address the County’s liabilities to the Subrecipient. 46.0 (NONDISCRIMINATION, EQUAL OPPORTUNITY AND EQUAL ACCESS) to address the Nondiscrimination, Equal Opportunity, and Equal Access Process. 47.0 (DISABILITY REQUIREMENTS) to address access and use of Information technology. 48.0 (LOBBYING) to address the influencing of internal and external parties. 49.0 (SYSTEM FOR AWARD MANAGEMENT) to address Award System for Subrecipients and Contractors. 50.0 (SURVIVAL) to address provisions of the Agreement. 51.0 (FORCE MAJEURE) to address the performance of both parties in Agreement. F. Section II above contains all the changes made by this Amendment No. 3. All other terms and conditions of the Agreement and previously approved Amendments not amended by this Amendment No. 3 shall remain unchanged and in full force and effect as executed by both Parties. Approve non-financial Amendment No. 4 to a Competition Impracticable Contract (220102) with Solari , Inc. and Maricopa County, administered by its Human Services Department. The purpose of the Agreement is for Solari , Inc. to provide navigation services to individuals seeking assistance that have been impacted by the COVID-19 pandemic. The purpose of the Amendment is to address the following: A. Extend the Agreement term from December 31, 2022, through June 30, 2023. B. Add contract required language: UYGHUR FORCED LABOR PREVENTION ACT (UFLPA) The Agreement is amended to incorporate the changes contained in this Amendment No. 4. All other terms and conditions of the Agreement and previously approved Amendments not amended by this Amendment No. 4 shall remain unchanged and in full force and effect as executed by both Parties. 37. AMENDMENT TO THE COMPETITION IMPRACTICABLE CONTRACT WITH SOLARI, INC. Approve financial Amendment No. 5 to a Competition Impracticable Contract (220102) with Solari , Inc. and Maricopa County, administered by its Human Services Department, referred to as the “Parties.” The Parties entered into entered into a Contract on or about August 17, 2021 to assist individuals impacted by the pandemic. The Parties now agree to amend the Agreement as follows: A. Extend expenditures deadline for ESG-CV activities to July 1, 2022, through September 30, 2023. B. Extend the Agreement term from July 1, 2023, through June 30, 2024. C. Increase the Agreement funding by $3,169,179 from $4,713,090 to $7,882,269. The increased funding is provided under ARPA funds provided to the County by the U. S. Department of Treasury under ALN 21.027. D. Remove Section 2.0 (Purpose), by removing in its entirety and replacing with the following: The purpose of the Agreement is to assist Maricopa County residents with the focus of residents outside the cities of Phoenix, Glendale, and Mesa, who were disproportionally impacted by the pandemic to obtain wrap around services that address the needs of the family. E. Remove Section 3.0 (CONTRACTOR RESPONSIBILITIES), by removing and replacing subsection 3.1 and 3.2 of the Agreement as follows: 3.1 The Subrecipient shall complete the following activities: 3.1.1 Housing Crisis Hotline 3.1.1.1 Operate and market an inbound phone number to navigate Maricopa County residents, who are experiencing housing crisis, to the HSD Dynamic Portal, as well as direct residents to appropriate diversion, prevention, homelessness, and housing services. 3.1.1.2 Provide information to County residents as it relates to the following MCHSD divisional (neighborhood) program services: 3.1.1.2.1 Early Education Division (EDD), childcare and early education services 3.1.1.2.2 Senior Adult Services Division (SASD) case management services 3.1.1.2.3 Workforce Development Division (WDD) employment and occupational skills training related services 3.1.1.2.4 Homeless Services 3.1.1.3 Crisis Case Management Services 3.1.1.3.1 Provide co-case management services to MCHSD Empowerment Pathways Program (EPP) clients to address the needs of the household and to move families closer to economic stability. 3.1.1.3.2 Communicate with EPP case worker to provide status of household as it relates to the outcome of referred services and the need for additional assistance/ services. 3.2 The Subrecipient shall track and provide MCHSD a monthly report as detailed in Attachment B - Deliverable Matrix. F. Revise Section 10.0, by removing subsection 10.2 in its entirety and replacing with the following: 10.2 The Agreement total funding amount is $3,169,179 for the Housing Crisis Hotline as detailed in Attachment A – Contract Operating Budget. The period of funding availability is July 1, 2023, through June 30, 2024. The Agreement is amended to incorporate the changes contained in this Amendment No. 5. All other terms and conditions of the Agreement and previously approved Amendments not amended by this Amendment No. 5 shall remain unchanged and in full force and effect as executed by both Parties. The purpose of the Agreement is for the Subrecipient to assist the County in providing services to those who have been disproportionately impacted by the pandemic through an expansion of #211 services including but not limited to transportation services, housing crisis hotline, and assistance to those facing eviction. The purpose of the Amendment is to address the following: A. Extend the Agreement term from June 30, 2024, through June 30, 2025. B. Increase the Agreement funding by $704,475 provided under ARPA funds provided to the County by the U. S. Department of Treasury under ALN 21.027. C. Update to Agreement clauses. Approve financial Amendment No. 7 to a Competition Impracticable Contract (“Agreement”) with Solari, Inc. and Maricopa County (“County”), administered by its Human Services Department. The purpose of the Agreement is to assist the County in providing navigation services through the expansion of 211 services for transportation services, housing crisis hotline, and assistance to those facing eviction. The purpose of the Amendment is to address the following: A. Revise Paragraph 10.0 (Funding, Invoicing, and Payment), Subparagraph 10.2 by removing in its entirety and replacing with the following: 10.0 FUNDING, INVOICING, AND PAYMENT 10.2 Funding for fiscal year 2025 is changed from $704,475 to $799,085, unexpended funds from fiscal year 2024 in the amount of $94,610 shall be applied to the FY25 budget as detailed in Attachment A: Solari Contract Operating Budget. The Agreement total funding under ARPA ALN 21.027 remains at $8,511,744, and total funding under ESG-CV ALN 14.231 is $75,000. B. Revise Paragraph 15.0 (Notices) by updating the County contact with the following: Amendment No .7 shall be effective upon approval and signature by the Parties.
