ASSIGNMENT OF USE MANAGEMENT AGREEMENT WITH TRES RIOS GOLF, LLC Approve and execute an Assignment of Use Management Agreement (Assignment Agreement) among Tres Rios Golf, LLC, and Southwest Golf Management, LLC, regarding the Use Management Agreement (UMA) between Maricopa County and Tres Rios Golf, LLC, originally approved on March 12, 1997 and as later amended. Pursuant to the Assignment Agreement, Maricopa County consents to the assignment of the UMA from Tres Rios Golf, LLC to Southwest Golf Management, LLC for the management, operation and maintenance of the Tres Rios Golf Course, all detailed in the UMA, as previously amended. This Assignment Agreement is the result of a solicitation (#210127-RFP Request for Proposals for Use Management Agreement for the Tres Rios Golf Course) released by the County on August 24, 2020. Southwest Golf Management, LLC’s principals have over 30 years of public and private golf course management expertise. They previously managed three golf courses in Arizona, one of which was just recently sold (Falcon Dunes) and currently manage three golf courses in California. AMENDMENT FIVE TO USE MANAGEMENT AGREEMENT WITH SOUTHWEST GOLF MANAGEMENT, LLC Approve and execute Amendment Five to the Use Management Agreement between Maricopa County (“County”) and Southwest Golf Management, LLC (“Concessionaire”) (C-30-04-027-1-05). The purpose of Amendment Five is to address, among other things, the following: (i) Concessionaire shall provide documentation to demonstrate adequate financing to complete phased improvement projects per Amendment Five Exhibit A; and (ii) Concessionaire shall establish a reserve fund that shall forfeit to Maricopa County upon termination for cause or default; and (iii) Amend the payment schedule; and (iv) Modify the term of the agreement through December 31, 2050; and (v) Other administrative actions. All other terms and conditions of the Agreement shall remain in full force and effect. This Amendment Five shall be effective upon approval and signature by both Parties. This item was heard in executive session on August 10, 2020 and August 31, 2020. The reduction in revenue has already been budgeted in FY21.
