47. BUSINESS ASSOCIATE AGREEMENT AND MEMORANDUM OF AGREEMENT WITH THE CDC FOUNDATION Approve the retroactive Business Associate Agreement (BAA) and Memorandum of Agreement (MOA) with The CDC Foundation and Maricopa County by and through its Department of Public Health (MCDPH), Clinical Services. This is a non-financial Agreement, and this Agreement begins on September 6, 2022, and shall terminate on July 31, 2023. This agreement may be renewed annually unless terminated by either party, by providing thirty (30) day written notice of termination to the other party. These agreements are retroactively effective on September 6, 2022 The purpose of this Agreement is to comply with the requirements of the Health Insurance Portability and Accountability Act of 1996 (42 USC §1320d et seq.) (“HIPAA”), the Health Information Technology for Economic and Clinical Health Act (“HITECH”) of the American Recovery and Reinvestment Act of 2009 (ARRA), which made changes to various provisions of HIPAA, including updating the definition of a business associate and imposing additional obligations and responsibilities on business associates by implementing privacy and security regulations set forth at 45 CFR Parts 160 and 164 (the “HIPAA Rules”) and any applicable state confidentiality laws.
